[On the Move] - Thursday, February 28, 10:24 AM Groupocalypse Now: the daily deals leader is hit with 3 downgrades following an EPS miss and soft guidance. Wells Fargo, cutting Groupon (GRPN -23.3%) to Market Perform, declares "the company is moving away from a technology platform for merchants and into a discount inventory overstock retailer," and sees its margin weakness as proof. Wells adds this shift hurts Groupon's brand and puts it "on a collision course with Amazon." Evercore remains bearish, but is encouraged by Groupon's billings, and thinks new initiatives such as Local Marketplace are helping out. (transcript) 1 Comment [Tech, On the Move]

Losers: GRPN -29%. BSFT -23%. JCP -16%. PKT -15%. MTG -14%. MCP -8%. CWH -7%. 1 Comment [On the Move] - Wednesday, February 27, 6:36 PM Groupon (GRPN) lowered the cut it receives on daily deals to 35% from 40% in Q4, CFO Jason Child discloses. That's one reason (though not the only one) why daily deals revenue fell 14% Y/Y. On the earnings call, COO Kal Raman suggested major international layoffs are on the way - 3/4 of sales personnel currently work in Groupon's international ops. CEO Andrew Mason, likely to face fresh calls for his removal (previous), promises operating margin will improve in 2013 in spite of a shift towards e-commerce sales. Shares -25.8% AH. After-hours top losers: GRPN -25%. BSFT -23%. ANW -14%. VCRA -12%. JCP -9%. 3 Comments [On the Move] - Wednesday, February 27, 4:29 PM More on the Groupon disaster: Europe is still weak - Q4 international revenue -16% Y/Y (was +3% in Q3), billings +6%. North America was better: revenue +109% (+81% in Q3), billings +51%. Direct revenue (e-commerce sales) rose to $225M, now 35% of revenue. But it produced just $6.6M in gross profit. This led gross margin to fall to 55.7% from 80.4% a year ago. Marketing spend -61% Y/Y to $60.9M, SG&A +20% to $307.6M. Capex $40M in Q4, $96M in 2012. Headcount fell by 472 to 11.4K. GRPN -19.9% AH. - Wednesday, February 27, 4:10 PM Groupon (GRPN): Q4 GAAP EPS of -$0.12 misses by $0.15. Revenue of $638.3M (+30% Y/Y) in-line. Gross billings +24% Y/Y to $1.52B. Expects Q1 revenue of $560M-$610M, below $650.3M consensus. Expects Q1 operating income of -$10M to $10M. Shares -25.8% AH. (PR) 17 Comments [Tech, Earnings, On the Move, Breaking News]
- Wednesday, February 27, 7:46 AM Groupon's (GRPN) Q4 earnings are due out after the bell, with analysts estimating that the company swung to an EPS of $0.03 from a loss per share of $0.06 as revenues climbed 26% to $638.41M. Piper Jaffray's Gene Munster, who last week upgraded Groupon to "Overweight" from "Neutral," expects Groupon's results and guidance to reflect continued strength in North America and a recovery internationally following two quarters of declines. 1 Comment [Tech, Consumer, Earnings]

- Saturday, February 23, 5:49 PM In addition to hatching plans for a Spotify-like streaming service, Google (GOOG) is talking with studios about a YouTube subscription service for music videos and perhaps audio-only songs, the WSJ reports. YouTube is already rumored to be discussing taking a 10% stake in music video site/partner Vevo, and of rolling out a subscription service for individual channels. Separately, BI observes Google is stepping up its challenge to Groupon (GRPN) by making it easier to buy search ads for local deals. 1 Comment [Tech]
- Friday, February 22, 1:45 PM Some Google (GOOG +0.4%) news: 1) In a rare move, Google has sold European deals site DailyDeal back to its founders, presumably for much less than the $114M Google paid for it in 2011. As Groupon (GRPN) can vouch, the European daily deals market had a very rough 2012. 2) Google Glass (previous) will arrive by year's end and "cost less than $1,500," the company tells The Verge. Joshua Topolsky has joined David Pogue in offering a positive review, while granting the hardware took some getting used to. "The more I used Glass the more it made sense to me; the more I wanted it." 1 Comment [Tech]
- Thursday, February 21, 2:09 PM LivingSocial CEO Tim O'Shaughnessy refutes a PrivCo report claiming the #2 daily deals vendor's latest funding round featured "oppressive terms." He claims the deal involves a ~$1.5B valuation (that suggests AMZN's stake is worth around $450M) and doesn't require 10%+ dividend payments, and its liquidation preference is "nowhere near 4x." However, PrivCo's CEO stands by his firm's report, and calls O'Shaughnessy's comments misleading. GRPN +3%. Comment! [Tech]
- Thursday, February 21, 10:17 AM LivingSocial's new funding round was provided with "oppressive terms" and arrived with the company just days away from a Chapter 11 filing, PrivCo reports. The deal reportedly requires Groupon's (GRPN +5.2%) biggest rival to pay double-digit annual dividends, grants liquidation preferences of up to 4x the company's $110M debt load, and is meant to set up a sale by year's end. 29% owner Amazon (AMZN) is said to be among the investors. (Groupon upgrade) 1 Comment [Tech]
- Thursday, February 21, 7:20 AM Groupon (GRPN) +4.7% premarket after an upgrade to Buy at Piper Jaffray. This comes after yesterday's 4% slide on news LivingSocial will be around a bit longer thanks to a new funding round. Comment! [Tech, On the Move]
- Wednesday, February 20, 2:33 PM Groupon (GRPN -4.1%) slides after top rival LivingSocial states it has raised $110M in a new funding round, guaranteeing its near-term survival. Amazon (AMZN), which has a 29% stake in LivingSocial, disclosed in its 2012 10-K LivingSocial posted revenue of $536M (+114% Y/Y) and a net loss of $71M (exc. a $579M impairment charge) last year. Amazon valued its stake (the subject of a major write-down) at $52M, which implies a $179M valuation for the entire company. (previous) 1 Comment [Tech, On the Move]

Energysystems: Should've sold to google when they had the chance. It's a business without a moat, and that's a bad spot to be in.

Not taking a position, but GRPN is actually starting to look attractive. Primarily as a takeover candidate for something like FB. - View all 7 replies

given GRPN 's steady march to zero, will AMZN write down it's stake in Living Social? or magically come up with mark up to "beat estimates"? - View all 1 replies

J Mintzmyer: Yes- but unfortunately I bailed around $11 on GRPN and close to $7 on ZNGA. I'm currently short LNKD and AMZN. -
J Mintzmyer: Both were through 1-2 month otm options, and I decided not to roll them forward. LNKD and AMZN are naked.

Why in the world does GRPN continue to create new line items for questionable sources of revenue to blow more smoke in investor's faces??? - View all 6 replies

James Sands: Groupon's diluted eps and cash flow numbers are showing significant improvement. Remind me again, what are the current accounting issues. -
