    Halcon Resources (HK) -5.8% premarket after announcing a secondary offering of 35M shares of its common stock offered by EnCap Energy Capital, with a 30-day option to purchase up to 5.25M additional shares. EnCap owns ~32% of HK shares. HK will not receive any proceeds from the offering.

    Halcon Resources (HK +9.1%) beats Q2 earnings expectations and discloses a new liquids-rich exploratory play in the Midway-Navarro formations in Texas. HK expects to build a position of 25K-75K net acres in the play, and will utilize one rig in the region to spud four to six wells this year.

    Halcon Resources' (HK -2.3%) planned takeover of GeoResources (GEOI -0.7%) gives traders the chance to reap the biggest arbitrage profit in America, Bloomberg says. While shares of both companies have slumped as oil prices have dropped, traders can still secure an annualized 56% profit by buying GEOI on the bet the deal will close by July 31, the report says.

    Halcon Resources (HK -4.1%) forecasts 2012 production to more than double, rising to 9K-11K boe/day from 4,121 boe/day last year, thanks to recent acquisitions in liquids-rich shale acreages. HK also expects Q2 production of 3.9K-4K boe/day.

    Halcon Resources (HK -0.6%) agrees to buy an operated interest in east Texas oil and gas leases for ~$377M. HK plans to pay $222M in cash and issue ~16.5M shares to buy the interest in the assets covering 16,365 net acres. Net daily production runs to ~2,000 boe/day at the leases, which HK believes are prospective in the oil-rich Woodbine formation.

    Halcon Resources (HK) agrees to acquire GeoResources (GEOI) for $20/share in cash and 1.932 shares of HK common stock for each GEOI share held. The deal represents total consideration of ~$37.97/share. GEOI +21.3%, HK +4.8% premarket.

    Don't expect any share buybacks from BHP Billiton (BHP), CEO Marius Kloppers says on today's earnings call, noting its $12.1B acquisition of Petrohawk Energy (HK) will absorb any extra cash. Rival Rio Tinto (RIO) boosted its buyback to $7B from $5B earlier this month, but Kloppers says BHP is prioritizing volume growth and dividends.

    In spite of many class action lawsuits accusing Petrohawk's (HK) board of not evaluating all options before agreeing to a $12.1B acquisition by BHP Billiton (BHP), the company insists it's unlikely to attract a rival bid. BHP expects to close the acquisition in Q3, and believes Petrohawk will average 10%+ annual production growth for the rest of the decade.
