    Halcon Resources (HK) agrees to acquire Williston Basin assets from Petro-Hunt for $1.45B. The purchase includes oil and gas prospects on ~81K acres in the Bakken and Three Forks formations in North Dakota. Additionally, Canada's Pension Plan Investment Board agrees to purchase $300M of HK common stock at $7.16/share. HK +2.8% premarket.

    Halcon Resources' (HK -2.3%) planned takeover of GeoResources (GEOI -0.7%) gives traders the chance to reap the biggest arbitrage profit in America, Bloomberg says. While shares of both companies have slumped as oil prices have dropped, traders can still secure an annualized 56% profit by buying GEOI on the bet the deal will close by July 31, the report says.

    Halcon Resources (HK -0.6%) agrees to buy an operated interest in east Texas oil and gas leases for ~$377M. HK plans to pay $222M in cash and issue ~16.5M shares to buy the interest in the assets covering 16,365 net acres. Net daily production runs to ~2,000 boe/day at the leases, which HK believes are prospective in the oil-rich Woodbine formation.

    Halcon Resources (HK) agrees to acquire GeoResources (GEOI) for $20/share in cash and 1.932 shares of HK common stock for each GEOI share held. The deal represents total consideration of ~$37.97/share. GEOI +21.3%, HK +4.8% premarket.

    In spite of many class action lawsuits accusing Petrohawk's (HK) board of not evaluating all options before agreeing to a $12.1B acquisition by BHP Billiton (BHP), the company insists it's unlikely to attract a rival bid. BHP expects to close the acquisition in Q3, and believes Petrohawk will average 10%+ annual production growth for the rest of the decade.

    In the current low growth, cheap money economy, Jim Jubak thinks it's worth adding an M&A component to your investment portfolio. But how to find winners? He suggests focusing on sectors such as coal and iron mining, where supply (and growth) are hard to find, or chemicals and software games, where there are lots of players with small market shares. Acquisition candidates include ATVI, HK and PXD.

    BHP's (BHP -1.5%) willingness to pay a 65% premium for Petrohawk (HK +62.7%) shows that mining companies will pay top dollar for natural gas plays (UNG +2.5%), despite the stubbornly low price of the commodity itself. JPMorgan's Mark Lear says acquisition targets could include: RRC +6.6%, BEXP +6.1%, KOG +5.7%. Also surging: COG +7%, CHK +6.7%.

    BHP Billiton (BHP) agrees to buy Petrohawk Energy (HK) for $12.1B in cash, or $38.75/share. The deal gives BHP 1M acres in Texas and Louisiana for shale gas production. HK +63.4% AH, BHP -1.9% in Sydney.
