</p><p>Since my last article about Priceline.com (<a href='http://seekingalpha.com/symbol/pcln' title='priceline.com Incorporated'>PCLN</a>) in Jan. 2013, titled <a href="http://seekingalpha.com/article/1135291-why-investors-may-have-to-reconsider-priceline-com" target="_blank"><i>Why Investors May Have To Reconsider Priceline.com</i></a>, the company's stock price has outperformed the increase in the NASDAQ index and that of major competitor Expedia (<a href='http://seekingalpha.com/symbol/expe' title='Expedia, Inc.'>EXPE</a>), while under-performing the jump in the common shares of Orbitz (<a href='http://seekingalpha.com/symbol/oww' title='Orbitz Worldwide, Inc.'>OWW</a>) and TripAdvisor (<a href='http://seekingalpha.com/symbol/trip' title='TripAdvisor Inc.'>TRIP</a>) (see graph). This price performance was stronger than expected, given that the company <a href="http://www.cnbc.com/id/100712451" target="_blank" rel="nofollow">reported a lower than expected</a> guidance for the rest of the year, which seems like another sign that the largest on-line travel company by enterprise value could be reaching its peak performance. Growth investors could be better served if they look at other smaller companies in the on-line travel industry.</p><p>

Kayak's shareholders have already approved the deal, less than a year after the company went public. Priceline grew its revenues by 22% in 2012 compared to the previous year, to a total of $5.3 billion; Kayak, for purposes of comparison, generated less than $300,000 in sales during the same period though its top line growth rate was considerably higher. So while the acquisition would certainly supplement Priceline's own growth rate, the company is performing nicely on its own and any delay or uncertainty regarding the deal should not be taken as too bearish (in addition to the fact that M&amp;A actually tends to destroy shareholder value).</p><p>The company also improved its net margins over the course of 2012, with earnings rising 34%. That's more than twice <a href="http://techcrunch.com/2010/07/01/google-ita-700-million/" rel="nofollow">what Google paid for ITA back in 2010</a>. Why did Priceline (<a href='http://seekingalpha.com/symbol/pcln' title='priceline.com Incorporated'>PCLN</a>) make this move? And why now?</p><p>Priceline acquired Kayak (<a href='http://seekingalpha.com/symbol/kyak' title='Kayak Software Corporation'>KYAK</a>) for $40 a share, about $500 million in cash, $1 billion in Priceline equity, and about $300 million in stock options. Kayak got a premium price - a 29 percent premium, to be exact - from Priceline considering that, on the day of its acquisition, Kayak closed at roughly $31 a share. That's about 54 percent higher than where Kayak was on IPO day, at $26 a share. At first glance, Priceline's offer for Kayak appears respectable. The $40-per-share bid is the highest Kayak's shares have seen in its short life on the Nasdaq. Using an enterprise value of $1.65bn, Kayak is being valued at 5.8 times trailing revenue and about 5.6x full-year 2012 revenue.</p><p>But as we look closer, we see that Kayak is being valued only slightly higher than Priceline's current trading valuation, and that's excluding any takeout premium for the acquirer. With an enterprise value of roughly $28bn, Priceline trades at about 5.5x trailing revenue and 5.3x 2012 revenue. Priceline will pay $40 per share for Kayak. About  $500 million of the purchase price will be in cash and the other $1.3  billion in equity and stock options.</p> <p>Kayak was founded in 2004 by a team of online travel industry veterans, including CEO Steve Hafner, a co-founder of Orbitz; CTO Paul English, a former VP of technology at Intuit; Chairman Terrell Jones, founder of Travelocity; and Director Greg Slyngstad, founder of Expedia. The company received a total of about $229 million in venture funding  for major Silicon Valley firms, including General Catalyst Partners,  Sequoia, Accel Partners, and others.
