The five directors will likely be asked how much they knew about Merrill's losses, what role they played in disclosure decisions, whether there was pressure from government officials and whether the board sought outside counsel. Cuomo is also considering possible civil fraud charges against CEO Ken Lewis.</li>   <li><b><a href="http://online.wsj.com/article/SB125313063626017009.html">eBay faces Skype lawsuit.</a></b> The founders of Skype software have filed a copyright lawsuit against current owner eBay (<a href='http://seekingalpha.com/symbol/ebay' title='More opinion and analysis of EBAY'>EBAY</a>) and the proposed buyers of a 65% stake in Skype, alleging breach of licensing terms and escalating eBay's ongoing legal drama over the unit. eBay denied the claims, but the suit could complicate the deal which is due to close in Q4 2009.</li>   <li><b><a href="http://online.wsj.com/article/SB125313421439517281.html">Kodak takes a moment for financing.</a></b> Eastman Kodak (<a href='http://seekingalpha.com/symbol/ek' title='More opinion and analysis of EK'>EK</a>) plans to raise up to $700M in debt to shore up its balance sheet. The financing, which is being led by Kohlberg Kravis Roberts, gives Kodak more financial breathing room and will help it pay off debt due next year. However, the deal is not without its costs and KKR could end up with as much as a 20% equity stake in Kodak through warrants issued as part of the deal. Shares <font color="red">-2.7%</font> premarket (7:00 ET).</li>   <li><b><a href="http://www.washingtonpost.com/wp-dyn/content/article/2009/09/16/AR2009091603055.html">FDIC repackages loans.</a></b> The FDIC launched a new program yesterday to package loans from failed banks and subsidize their purchase by investors. To kick-off the long-awaited program, the FDIC announced a partnership with Residential Credit Solutions to take ownership of loans originally worth $1.3B. Officials said a second deal will follow soon, and others will be announced before the end of the year.</li>   <li><b><a href="http://online.wsj.com/article/SB125314357900717631.htm">Insurance regulators target ratings agencies.</a></b> Regulators of some of the largest bond buyers in the world are considering cutting the role of ratings agencies in the market in response to the poor job the agencies did with complex mortgage securities. State insurance regulators are in the early stages of reassessing their reliance on firms like Moody's (<a href='http://seekingalpha.com/symbol/mco' title='More opinion and analysis of MCO'>MCO</a>) and Standard &amp; Poor's (<a href='http://seekingalpha.com/symbol/mhp' title='More opinion and analysis of MHP'>MHP</a>) and may opt instead for analysis from other financial firms with expertise in valuing the securities.</li>   <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601110&amp;sid=aXHsFeEaL3GQ">California AG targets ratings agencies.</a></b> In addition to being challenged by insurance regulators (see above) and facing <a href="http://www.sec.gov/news/openmeetings/2009/ssamtg091709.htm">heightened scrutiny from the SEC</a>, ratings agencies will soon be under investigation by California Attorney General Jerry Brown for the role they played in the economic crisis through their evaluations of asset-backed securities. Ratings agencies &quot;worked behind the scenes with the same Wall Street firms that created [the securities],&quot; said Brown, earning &quot;billions of dollars in revenue, at a rate double what they earned for rating other financial products.&quot; Brown didn't specify which companies will be investigated.</li>   <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=aE7YHKFvtMqI">Google focused on book deal.</a></b> Google (<a href='http://seekingalpha.com/symbol/goog' title='More opinion and analysis of GOOG'>GOOG</a>) is reportedly in talks with the Department of Justice and a group of authors and publishers to modify its book-scanning settlement, with the hope of easing regulators' concerns that Google's ambitious project will discourage companies from competing for access to books online. Meanwhile, Google is <a href="http://online.wsj.com/article/SB125312746671516893.html">buying reCaptcha</a>, an online fraud prevention start-up, to use in its book-scanning project. Terms of the deal weren't disclosed.</li>   <li><b><a href="http://www.reuters.com/article/newsOne/idUSN1614683520090917">Oracle's sales cloud tech recovery hopes.</a></b> Oracle (<a href='http://seekingalpha.com/symbol/orcl' title='More opinion and analysis of ORCL'>ORCL</a>) reported quarterly earnings in-line with estimates (see details below), but its software sales were sharply lower than expected. New license sales were down 17% vs. the 4-14% decline Oracle had forecast, disappointing analysts hoping to see further signs of a tech sector rebound. The effort will cost $1B, which is 30-40% more than Toyota usually spends in a quarter, and will include subsidized leases and loans, customer incentives and financial support for dealer advertisements. The company also intends to expand its line of Prius hybrids.</li>   <li><b><a href="http://online.wsj.com/article/SB125315983483918771.html">BoJ holds rates steady.</a></b> As expected, the Bank of Japan left its key interest rate unchanged at 0.1%, but raised its economic forecast for the first time since July. The bank said &quot;Japan's economic conditions are showing signs of recovery,&quot; a marked improvement from July's comment that the country's economy had &quot;stopped worsening.&quot; (Read BoJ's <a href="http://www.boj.or.jp/en/type/release/adhoc09/k090917.pdf">statement</a> (.pdf))</li>   <li><b><a href="http://www.nahb.org/generic.aspx?sectionID=134&amp;genericContentID=529">Housing index ticks up.</a></b> The NAHB Housing Market Index increased by 1 point to 19, its third straight gain and its highest point since May 2008. Current sales expectations and prospective buyer traffic ticked up, but expectations for the next six months declined slightly, likely as a result of the expected expiration of the homebuyer tax credit.</li>   <li><b><a href="http://www.bls.gov/news.release/cpi.nr0.htm">Consumer prices rise.</a></b> The Consumer Price Index rose 0.4% in August from the previous month and fell 1.5% Y/Y, vs. consensus of +0.3% and -1.7%. Core CPI rose 0.1% M/M and 1.4% Y/Y, both in-line with consensus.</li>   <li><b><a href="http://www.treasury.gov/press/releases/tg288.htm">TIC: Foreign purchases fall.</a></b> July Treasury International Capital data was released yesterday, with net foreign purchases of long-term securities registering at $15.3B, way down from June's $90.7B. Foreigners picked up $44B in long-term U.S. securities ($32.1B by private investors and $12B by official institutions), and U.S. residents bought $28.8B in foreign debt.</li>   <li><b><a href="http://www.federalreserve.gov/releases/G17/Current/default.htm">Industrial production increases.</a></b> Industrial Production rose 0.8% in August vs. consensus of +0.6%, the second straight monthly gain. July's increase was revised to +1% from +0.5%. Ex-auto, manufacturing was +0.4%. Capacity utilization rose to 69.6% from 69%, but is still 11.3 points below its historical average.</li>   <li><b><a href="http://www.bea.gov/newsreleases/international/transactions/2009/trans209.htm">Current account deficit.</a></b> The Current Account Deficit was $98.8B in Q2 vs. consensus of $92B. This is a day where we celebrate the freedom in our country that we still enjoy after declaring our independence 233 years ago.  Political freedom is a value that we typically associate with countries in which the entrepreneurial spirit thrives and the economy grows.  We shouldn't take our freedom for granted, as most people on our planet still don't enjoy the opportunities that we do.</p><p>It is exciting, however, to see individual rights improving for many in lesser developed countries, as we can expect these new-found freedoms to help them improve their standards of living in coming decades.  So, to all my fellow Americans, I wish you a Happy 4th, and to those who don't yet enjoy political and economic freedom, I offer my wishes for improvement in those areas.</p></div>]]>

The closure is targeted for spring of 2010. This will eat into the company&rsquo;s earnings for the next two quarters. The benefits of consolidation moves like this take time to realize, so don&rsquo;t expect to see the savings immediately. The company executed a massive acquisition last year, piling goodwill onto its balance sheet.  With business down so much, the company, in conducting its annual &quot;impairment test&quot;, might find that it needs to write down the carrying cost.</p><p>The company stated that it didn't need to make an adjustment this year, though clearly this is purely management discretion.  This is important, because a writedown can trigger a violation of bank covenants (as debt to equity rises after the equity is reduced).  Further, it can hurt valuation ratios such as price to book value.</p></div></div></div></div></div>]]>

The U.S. Fed increased its dollar swap line with foreign CBs by $180B - $60B of which will be funnelled to the ECB, $60B to the BoJ, $40B to the BoE and $10B to the Bank of Canada. In an expensive game of musical chairs, banks have become increasingly wary of lending one another - with each worrying it'll be caught with outstanding loans when the music stops. On Wednesday, the cost of insuring U.S. government debt against default soared to new records, as did three-month inter-bank loan rates. In overnight trading, the cost of borrowing dollars (Libor) <a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=a.fC1_qSdAog">tumbled</a> 1.19% to 3.84% as markets welcomed the liquidity boost.<!--more--></li>

Management will argue the bid undervalues the company, and will present shareholders with its strategic outlook, including selling some non-core assets such as its theme parks, and added cost savings of $500M over the next four years. InBev is likely to take its offer directly to shareholders.<!--more--></li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=acTW0F8r0Yjs&refer=home">Fed focused on inflation.</a></strong> The Fed left its target rate unchanged at 2%, as expected. It said economic activity continues to expand, but labor is weaker and financial markets remain under stress. Analysts said its statement was skewed more to inflation than to lack of growth: "Uncertainty about the inflation outlook remains high," making a rate hike by September more likely now than before. Analysts <a href="http://www.briefing.com/Investor/Public/MarketSnapshot/HeadlineHits.htm#NS20080625142559HeadlineHits">said</a> the Fed's statement is moderately bullish for the stock market: there is nothing that suggests an imminent rate hike, and no evident panic over inflation. The decision wasn't unanimous: Dallas Fed president Richard Fisher dissented for a fourth straight time, favoring a rate hike to 2.25%.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aXXvsTcMNBKM&refer=home">Goldman says Citi crisis not over.</a></strong> Goldman says Citigroup (<a href='http://seekingalpha.com/symbol/c' title='More opinion and analysis of C'>C</a>) will likely take an additional $8.9B writedown in Q2. "The turnaround in business trends that we had been expecting in the second half of 2008 may not occur as quickly as we should have thought. We see multiple headwinds for Citigroup," including writedowns, the need for more capital, and dividend cuts or asset sales. These would add to Citi's $42.9B in credit-related losses so far. Goldman cut its share price target to $16, and put Citi on its Conviction Sell list.</li>

<li><strong><a href="http://seekingalpha.com/article/82717-oracle-f4q08-qtr-end-5-31-08-earnings-call-transcript?page=-1">Oracle beats; shaky outlook scares Street.</a></strong> FQ4 profits at Oracle (<a href='http://seekingalpha.com/symbol/orcl' title='More opinion and analysis of ORCL'>ORCL</a>) jumped 27% to $2.4B, ahead of analyst expectations. Shares initially climbed in extended trading, but dropped when CFO Safra Catz said the current economic environment continues to challenge, and hinted revenue from corporate customers may slow. Catz said Oracle's strong results owed a lot to its aggressive acquistions.</li>

<li><strong><a href="http://seekingalpha.com/article/82706-research-in-motion-f1q09-qtr-end-5-31-08-earnings-call-transcript?page=-1">BlackBerry maker drops 9% after outlook falls short.</a></strong> Research In Motion (<a href='http://seekingalpha.com/symbol/rimm' title='More opinion and analysis of RIMM'>RIMM</a>) doubled its revenue and EPS, but investors punished the company in AH trading after its outlook failed to satisfy them. Looking ahead, RIM sees FQ2 EPS of $0.84-0.89, well short of the Street consensus of $0.90. On RIM's conference call, CEO Jim Balsillie said he's unphased by the iPhone 3G's (<a href='http://seekingalpha.com/symbol/aapl' title='More opinion and analysis of AAPL'>AAPL</a>) pending debut, and discounted any overlap between the two companies' products.</li>

<li><strong><a href="http://www.reuters.com/article/ousiv/idUSN2528373720080626?pageNumber=2&virtualBrandChannel=10216&sp=true">Keep vigilant watch on core inflation - Fed's Kohn.</a></strong> For now, Fed vice chairman Donald Kohn says, headline inflation (which includes food and energy costs) has barely embedded itself into core inflation and long-term inflation expectations. "However, policymakers around the world must monitor the situation carefully for signs that the increases in relative prices globally do not generate persistently higher inflation," he said this morning in Frankfurt. Kohn says emerging market growth was likely due to stronger earnings for commodity exporters.</li>

<li><strong><a href="http://www.reuters.com/article/businessNews/idUSTKB00303120080626?feedType=RSS&feedName=businessNews">Sony talks up big future.</a></strong> Sony (<a href='http://seekingalpha.com/symbol/sne' title='More opinion and analysis of SNE'>SNE</a>) says it will pump $17B into key businesses and technologies over the next three years, as it aims to lift return on equity to 10% from about 6%. Sony wants its TV business to turn profitable by year-end, and is looking to unseat Samsung as the number-one global LCD TV seller.</li>

<li><strong><a href="http://www.marketwatch.com/news/story/story.aspx?guid=%7B602B79F4%2DF3D2%2D41B1%2DA030%2D0B3174D2E266%7D&amp;siteid=rss">Lehman and LSE join hands.</a></strong> The London Stock Exchange and Lehman (<a href='http://seekingalpha.com/symbol/leh' title='More opinion and analysis of LEH'>LEH</a>) are planning to launch a pan-European trading platform, dubbed Baikal after the world's deepest lake, that will give clients access to securities in 14 European countries. A rival exchange for soon-to-launch <a href="http://www.marketwatch.com/News/Story/lse-hurting-competition-volume-worries/story.aspx?guid=%7BFA685E00%2D8EB0%2D4EB2%2DBEB6%2D192E368054D9%7D">Project Turquoise</a>, backed by nine investment banks including <a href="http://seekingalpha.com/symbol/c">C</a>, <a href="http://seekingalpha.com/symbol/gs">GS</a>, <a href="http://seekingalpha.com/symbol/mer">MER</a> and <a href="http://seekingalpha.com/symbol/ubs">UBS</a>.</li>

<li><strong><a href="http://online.wsj.com/article/SB121444553874905819.html">Tri-state trouble.</a></strong> Officials from California, Illinois and the Washington State Department of Financial Institutions filed legal actions against Countrywide (<a href='http://seekingalpha.com/symbol/cfc' title='More opinion and analysis of CFC'>CFC</a>) Wednesday. Allegations include misleading marketing, steering buyers into costly loans, and discriminatory lending. Also yesterday, Countrywide (<a href='http://seekingalpha.com/symbol/cfc' title='More opinion and analysis of CFC'>CFC</a>) shareholders overwhelmingly approved Bank of America's (<a href='http://seekingalpha.com/symbol/bac' title='More opinion and analysis of BAC'>BAC</a>) $4B (now $2.8B) buyout of the firm.</li>

<li><strong><a href="http://online.wsj.com/article/SB121444299224205665.html">SEC sets stage for change.</a></strong> The SEC proposed numerous regulatory changes, including weaning investors' reliance on credit ratings by lifting a requirement that money-market funds hold high-rated securities, and easing limitations on U.S. retail customers trading directly with overseas brokerage houses. Chairman Christopher Cox plans to leave in Feb. 2009; the broad moves are his attempt to make his mark on the body as it moves towards globalizing U.S. securities law.</li>

  <li><strong><a href="http://www.eia.doe.gov/pub/oil_gas/petroleum/data_publications/weekly_petroleum_status_report/current/txt/table12.txt">Oil inventories</a></strong> came in higher than expected: Crude +800K vs. -1.1M consensus. Gasoline -150K vs. unchanged. Distillate +2.82M vs +2M consensus. Crude futures are down 2.18% to $134. Crude futures were all over the board yesterday, but finished <font color="red">down 1.78%</font> to $134.56.</li>

  <li><strong><a href="http://cgi.money.cnn.com/tools/redirect.jsp?url=http://legalpad.blogs.fortune.cnn.com/2008/06/25/supreme-court-slashes-25b-exxon-valdez-award/">Valdez award slashed.</a></strong> The U.S. Supreme Court reduced the $2.5B Valdez award against ExxonMobil (<a href="http://seekingalpha.com/symbol/XOM">XOM</a> <font color="green">+0.8%</font>) to just $507.5M, and said damages should be compensatory, not punitive.</li>

  <li><strong><a href="http://www.census.gov/const/www/newressalesindex.html">May New Home Sales</a></strong> were <font color="red">down 2.5%</font> to 512K, after jumping 4.6% a month ago - in line with analyst consensus. Inventory jumped to 10.9 months supply, up from 10.7 last month. New homes sales are down 40% from a year ago. After 501K in March, and 525K in April - sales appear to be <a href="http://www.briefing.com/Investor/Public/MarketSnapshot/HeadlineHits.htm#NS20080625101025HeadlineHits">leveling</a>. Thursday's existing home sales number will be a clearer indication.</li>

<li><strong><a href="http://news.bbc.co.uk/2/hi/business/7474939.stm">UK inflation to fall, but not free of charge.</a></strong> BofE governor Mervyn King says he's confident inflation will drop back to the government's target of 2% within the next year - but said it will do so on the heels of a severe economic slowdown. UK inflation recently <a href="http://seekingalpha.com/market_currents/post/1266">hit 3.3%</a>, surprising economists.</li>
