- Wednesday, June 5, 10:05 AM SAP expands its cloud software arsenal by acquiring hybris, a top provider of e-commerce infrastructure software, for an undisclosed sum. The deal comes 8 months after SAP bought top B2B marketplace provider Ariba. SAP argues hybris' software, which covers Web, mobile, and in-store channels, will improve "customer insight and engagement" when paired with its Hana in-memory database and Jam social networking software. The deal could spell tougher competition for hybris rivals Demandware (DWRE -0.5%) and NetSuite (N -0.4%). SAP could also end up competing with IBM, which has been making acquisitions to bolster its Smarter Commerce initiative. Comment! [Tech, M&A]
- Tuesday, May 28, 4:45 PM NetSuite (N) announces a $270M offering of convertible senior notes due 2018. The cloud ERP/HR software vendor says it will use the proceeds for "working capital and other general corporate purposes," including possible acquisitions, as well as to buy back $30M worth of shares. Given NetSuite is cash flow positive, had $190.6M in cash and no debt on its balance sheet as of March 30, and has been quite willing to use acquisitions to expand its product line (I, II), there's a good chance some of the funds will be directed towards M&A. (PR) 2 Comments [Tech]
- Monday, May 27, 8:30 AM The NYT profiles cloud software companies NetSuite (N) and Workday (WDAY) as they take on corporate software giants Oracle and SAP. While NetSuite's roots come from Oracle - Larry Ellison was a backer - Workday has much motivation to outgun its larger rival. Workday founders David Duffield and Aneel Bhusri still feel the hurt of Oracle's hostile takeover of PeopleSoft, which was formed and led by Duffield. Comment! [Tech]
- Tuesday, May 14, 1:49 PM PayPal (EBAY) is pulling out all the stops to challenge Square in the iPad cash register space: it's now offering free payment processing for 2013 to any U.S. business that exchanges a register for a PayPal Here solution, which includes a stand, cash drawer, and printer. Meanwhile, Square is rolling out a $299 stand/card swiper for its iPad solution, and Groupon (GRPN) is launching a register app, rebranding its mobile payments unit (includes a restaurant app) as Breadcrumb, and offering $5K in free payment processing to new clients. VeriFone (PAY) and NCR, whose traditional offerings are threatened by the likes of Square, also offer iPad point-of-sale solutions, as does NetSuite's (N) Retail Anywhere unit. 1 Comment [Tech, Consumer]
- Wednesday, May 8, 11:52 AM NetSuite (N +0.1%) has bought OrderMotion, a developer of cloud-based order management software for e-commerce sites. OrderMotion's products will complement NetSuite's existing order management offerings, which cover a number of different sales channels. Interestingly, OrderMotion's products work with front-end tools from Demandware (DWRE -0.4%), a major e-commerce software rival of NetSuite's. In January, NetSuite bought retail point-of-sale software firm Retail Anywhere. Comment! [Tech, M&A]
- Thursday, April 25, 4:06 PM NetSuite (N): Q1 EPS of $0.04 beats by $0.01. Revenue of $91.6M (+32% Y/Y) beats by $0.66M. (PR) Comment! [Earnings, Breaking News]

- Wednesday, April 17, 9:26 AM Workday (WDAY) +1.7% after Wedbush's Steve Koenig starts coverage with an Outperform and $76 PT. "WDAY is a play on the potential for cloud computing to fundamentally remake the $25B [ERP software] market, just as it has disrupted the $13B [CRM software] market," Koenig writes, while adding checks indicate strong interest in cloud ERP from "enterprises saddled with expensive on-premise systems that are costly to maintain and update." NetSuite (N) is another cloud ERP vendor; SAP has the most to lose if the market takes off on a large scale. (yesterday) Comment! [Tech, On the Move]
- Thursday, March 21, 11:39 AM Evercore and CLSA have downgraded Oracle (ORCL -8.8%) following its FQ3 miss and light top-line guidance. The numbers have many worried about the impact of cloud apps ... and not just on application software sales. "As customers move to the cloud, you get a lot of the functionality consolidated ... so you need less hardware and less databases and middleware," says Pac Crest. UBS is still bullish: "Historically when they have a miss it’s a great time to buy." Interestingly, cloud rivals are higher - WDAY +1.4%, CRM +0.4%, N +1.2% - even as other peers follow the tech sector lower. IBM -1.6%. INFA -1.6%. RHT -1.1%. - Wednesday, March 20, 12:34 PM FBN launches coverage on a slew of enterprise/cloud software and Web hosting/CDN service plays. Akamai (AKAM +1.9%), Equinix (EQIX +0.6%), VMware (VMW +1.3%), Citrix (CTXS +1.3%), Salesforce (CRM +0.7%), and NetSuite (N +1.7%) have been started at Outperform, while Rackspace (RAX +2.6%), Workday (WDAY), and Concur (CNQR -1.3%) have been started at Sector Perform. Comment! [Tech]
- Friday, March 1, 1:00 PM Surging deferred revenue and healthy free cash flow (over 2x earnings) help Salesforce (CRM +7.8%) make new highs following its FQ4 report. Needham, lifting its PT to $200, is pleased 7 and 8-figure deals rose 50% Y/Y, albeit while admitting bookings growth (28%) benefited from forex and deal timing. On the earnings call, Marc Benioff promised more M&A - "We're going to buy small and big. We're going to be aggressive." - and boasted 3M+ apps have been developed on Heroku and Force.com. WDAY +2.2%. N +2%. MKTG +2.6%. ET +1.8%. ULTI +1.5%. Comment! [Tech, On the Move, Earnings]
- Friday, February 22, 7:09 PM Informatica (INFA) is helping Workday (WDAY) and NetSuite (N) address one of the main critiques levied at enterprise cloud software firms: that their offerings (unlike traditional end-to-end solutions from the likes of Oracle and SAP) fail to play nice with complementary software. A new integration template from Informatica syncs data between Workday's cloud HR apps and Netsuite's cloud ERP apps in real-time. The announcement comes a week after Informatica unveiled a data connector for Amazon's Redshift service. Comment! [Tech]
- Friday, February 1, 11:05 AM Rivals Demandware (DWRE -6.1%) and NetSuite (N +2.6%) head in opposite directions following NetSuite's Q4 report. NetSuite mentioned on its earnings call its SuiteCommerce platform saw a 50% ASP increase and now runs over 3K sites. CFO Ronald Gill also dismissed offerings such as Demandware's as "low-functionality point products," and argued Demandware lacks the integrated back-end capabilities of SuiteCommerce. Demandware also sold off following NetSuite's Q3 report. 1 Comment [Tech, On the Move]
