    A cyberattack last year on Nasdaq (NDAQ) was more serious than the exchange has let on, Reuters reports, with hackers installing software that enabled them to spy on board directors of publicly held companies. In February, Nasdaq said there was no evidence the intruders accessed client data.

    Jefferies Group (JEF -3.4%) files a lawsuit against NASDAQ OMX Group (NDAQ -1.4%) accusing the firm's International Derivatives Clearing Group unit of fraud and breach of contract in relation to interest-rate swap futures.

    LSE (LDNXF.PK) says it is in early talks to buy LCH.Clearnet in a deal that the FT says could value the clearing house at €1B ($1.43B). The discussions pit LSE against market-data firm Markit, while Nasdaq OMX (NDAQ) has also shown interest in the past. (PR; previously)

    Nasdaq OMX Group (NDAQ +1.8%) is higher after UBS upgrades the shares, saying the stock is trading at a deep discount to earnings and its "defensive business mix" should do well in a potential downturn.

    Among financial names showing strength are three Goldman Sachs added to its Conviction Buy list this morning: Knight Capital (KCG +7.2%), Nasdaq (NDAQ +4.9%), BlackRock (BLK +3.5%). Goldman upgraded these financials to Buy from Neutral: ICE +5.1%, OZM +5.4%, BEN +2.6%, GFIG +10.7%, AIZ +3.6%.

    More on Nasdaq's (NDAQ -0.4%) earnings: Q2 net profit -4.2% as $29M costs related to its failed NYSE (NYX) bid offset market share gains and a lower tax rate. "We are confident in our ability to continue growing...organically," says CEO Robert Greifeld. Does that mean no bid for LSE (LDNXF.PK)?

    Christine Varney, top antitrust official at the Justice Department, will step down later this year to join a prominent New York M&A law firm, WSJ reports. During her tenure at DOJ, Varney allowed the Live Nation (LYV) and Comcast (CMCSA) deals to go through with asset sales, but prevented a proposed joint bid by Nasdaq (NDAQ) and ICE for NYSE Euronext (NYX).

    The London Stock Exchange (LDNXF.PK) would be open to a merger of equals with Nasdaq OMX (NDAQ) following the failure of its bid for TMX Group (TMXGF.PK). Any tie-up would provide a counterweight to the combination of NYSE Euronext (NYX) and Deutsche Boerse (DBOEF.PK).

    A Nasdaq-London Stock Exchange pairing would seemingly bring together two jilted bridesmaids, and shares of Nasdaq (NDAQ) rose 4.7% yesterday and +1% premarket after a report from Charlie Gasparino that it had set its sights on acquiring LSE (LDNXF.PK), whose bid for TMX Group fell apart in the face of a counteroffer by a group of Canadian banks and pension funds.

    Nasdaq (NDAQ) confirms a bid for a minority stake in LCH.Clearnet, saying its SwapClear service would be a 'natural corollary' to Nasdaq unit IDCG. NYSE Euronext (NYX) is also reportedly in the hunt. (previous)
