Audio- and video-monitoring company Nice Systems (NICE +7.4%) is reportedly in talks to acquire rival Verint (VRNT +10.9%) for $1.5B in cash and stock in a deal that would represent a 19% premium on the latter's market cap of $1.26B. Nice would use its $422M cash reserves to help pay for the transaction, which would boost its presence in the defense sector - 75% of the the firm's sales are to the civilian sector.

NICE Systems (NICE +0.6%) finishes the day higher after FBR Capital raises its price target to $45 from $41. FBR says its channel checks indicate the company is seeing positive demand trends across both its enterprise and security segments. The firm maintains its Outperform rating on the stock.

Salesforce.com (CRM) emerged as the world's second-largest CRM software vendor in 2011, claims IDC, thanks to a growth rate (22.6%) roughly twice that of the overall market (11%). Oracle (ORCL), SAP, and Nice Systems (NICE) also grew faster than the overall CRM market. Oracle, which is in the process of acquiring cloud CRM firm RightNow (RNOW), remained the market's top vendor, with a 13.2% share.
