    NYSE Euronext (NYX) intends to spin off Paris-based Matif, Europe's biggest grain futures market, as part of its attempts to gain regulatory and political support for its $8.2B acquisition by ICE (ICE). Matif would be included alongside the spin-off of four NYSE Euronext European stock exchanges, although the companies plan to keep most of NYSE's London-based Liffe futures operations.

    Law professor Daniel Ravicher says Herbalife's (HLF) business partners, eBay (EBAY), FedEx (FDX), and NYSE Euronext (NYX), are now legally obligated to investigate claims HLF is a pyramid scheme - and as a shareholder he's demanding they do so. Ravicher says HLF's model - paying out more for onboarding new distributors than for product sales - makes it a pyramid, and thinks companies will be forced to cut ties with HLF, strangling it.

    More on NYSE Euronext (NYX) Q4 earnings: NYSE volume -25.2% Y/Y. Interest rate product trading -13.3% Y/Y. Two-year campaign to trim costs by $250M is started with $115M in cuts in 2012. Operating expenses -6% in Q4, helping to mitigate slowing volumes. (PR)

    Warren Buffett made a late-2012 play for NYSE Euronext (NYX), according to sources who say "Company A" in an ICE filing (S-4) about a competing bid was Berkshire Hathaway (BRK.B). Buffett reportedly bid less than ICE and conditioned the buy on the sale of NYSE's European derivatives business at a certain price.

    NYSE Euronext (NYX) doesn't intend to sell Euronext and will instead continue with its plan to spin off of the unit as part of Big Board's $8.2B acquisition by IntercontinentalExchange (ICE), NYSE CEO Duncan Niederauer has said. NYSE has reportedly received interest for Euronext, which could be valued at an estimated $1.39B in an IPO, from Nasdaq OMX (NDAQ) and the London Stock Exchange Group.

    CBOE Holdings (CBOE) says it's overhauling its 15-member board and replacing three directors who also run trading firms with existing directors that have no direct ties to the options business. The revamp is in response to an ongoing SEC investigation disclosed last year that is delving into the exchange's obligations and activities as a market regulator.

    IntercontinentalExchange (ICE) agrees to provide central counterparty clearing services through a U.K subsidiary to an affiliate of NYX in exchange for certain financial intermediary services by NYX.

    The NJ Carpenters Pension Fund sues to block the sale of NYSE Euronext to IntercontinentalExchange, alleging a "hopelessly flawed process" preferential to ICE and designed to benefit NYX insiders. For those counting, this is suit #2.

    IntercontinentalExchange (ICE) will have to pay NYSE Euronext (NYX) $750M should its takeover get blocked over antitrust concerns. Previous NYX merger attempts have failed over just that, but this deal (no Nasdaq, no Deutsche Boerse) seems less likely to raise the eyebrows of regulators.

    It took the market a few minutes to figure it out, but the ICE/NYSE deal puts a bulls eye on the back of the CME, now -3%. NYSE has tried and failed to challenge the Chicago derivatives operator, but ICE - which built a serious competitor to CME in what seems like the blink of an eye - has expertise the Big Board doesn't have. ICE -2.6%, NYX +31.5%.
