Emulex (ELX) is acquiring Endace, a New Zealand-based maker of high-speed network performance management (NPM) hardware, for $130M in cash. The purchase allows Emulex, whose core storage adapter card/switch business is sputtering, to expand into a sizable growth market. But there's plenty of competition, not least from Riverbed (RVBD), which offers its Cascade NPM hardware line and is about to buy NPM software leader Opnet (OPNT). Emulex expects the deal to be neutral to FY13 EPS and accretive starting in early FY14. CC starting (webcast).

Cisco (CSCO) is acquiring Cariden Technologies, a provider of network management software for carriers, for $141M in cash + retention incentives. Cisco touts the capacity planning/optimization abilities of Cariden's software, which manages both routers and optical networking gear, and says it will complement its nLight platform for jointly provisioning both types of hardware. Cariden competes with OPNET (OPNT), which is set to be acquired by Riverbed (RVBD). Cisco bought two other network management software firms earlier this year (I, II).

Riverbed (RVBD -16.8%) plummets as the Street gives a thumbs-down to its deal (I, II) to acquire Opnet (OPNT +29.6%). Also hurting is a downgrade to Underperform from Jefferies: the firm notes Riverbed is paying 30x estimated 2013 EPS (ex. cash and interest income) for Opnet, and sees the deal as evidence the company's core WAN Optimization hardware market is slowing down.

More on Riverbed's (RVBD) purchase of Opnet (OPNT): Riverbed says it will integrate Opnet's network performance management (NPM) software with its Cascade NPM appliances. Riverbed recently announced a virtualization-oriented refresh for Cascade, which the company hopes will lower its dependence on its market-leading Steelhead WAN optimization gear. During its Q3 earnings call, Riverbed noted Cascade revenue rose 45% Y/Y, but it only totaled $17M. NetScout (NTCT) could get a lift from the deal when markets re-open.

Riverbed (RVBD) agrees to acquire Opnet (OPNT), a developer of software that manages network traffic, for an equity value of $1B and an enterprise value of $921M. The $43/share cash-and-stock deal represents a 34% premium based on the companies' close on Friday. Riverbed closed at $22.62 and Opnet at $32.10. (PR)

More on Opnet's FQ3: No explanation is provided for light revenue and EPS figures. However, it's noted Opnet's gross margin fell 150 bps Y/Y to 77.3%. Deferred revenue rose 13% Q/Q and 16% Y/Y to $49.8M. Opnet expects FQ4 revenue of $45M-$49M and EPS of $0.20-$0.32, compared with Street estimates of $48.1M and $0.30. OPNT -9.2% AH. (PR)

Opnet (OPNT -21.6%) is tanking after delivering a weak FQ2 report. In addition to missing revenue forecasts, the telecom software firm guided for FQ3 revenue of $44M-$49M ($47.1M consensus) and EPS of $0.24-$0.36 ($0.29 consensus) - broad ranges that suggest uncertainty about future demand. With yesterday's close translating into a trailing P/E of 52, Opnet had little margin for error.
