    PPL Corp. (PPL) announces the public offering of 9.9M shares of its common stock, set to occur around April 13. The company says it plans to use the proceeds to make capital contributions to subsidiaries and repay short-term debt obligations. Shares -1.6% premarket.

    PPL revises its Q4 earnings higher after the U.S. Supreme Court issued a ruling in its favor. Q4 EPS is now $0.78 vs. previously reported $0.69; EPS from operations is $0.71 vs. $0.70. On Feb. 22, the Court reversed a ruling of the Montana Supreme Court that PPL had to "pay rent for its use in its hydroelectric operations of riverbeds under portions of three rivers in Montana."     PPL Corp. (PPL) acquires an AES Corp. (AES) subsidiary that operates a combined-cycle natural gas-fired power plant in Pennsylvania. The cost of the transaction runs $304M, including a $87M cash consideration.

    United States Steel (X +0.1%) is urging its shareholders to reject an unsolicited mini-tender offer from TRC Capital. TRC is attempting to acquire up to 3M shares of the company's stock at $24.50 per share. Other companies have faced mini-tender offers from TRC this year and recommended that their shareholders reject them, including: Adobe (ADBE -0.1%) and PPL (PPL +0.9%).
