- Tuesday, September 25, 2012, 6:06 PM Some more S&P MidCap 400 changes: InterDigital (IDCC) will replace Quest Software (QSFT) as of the Sep. 28 close, and Genesee & Wyoming (GWR) will replace Collective Brands (PSS) as of the Oct. 1 close. Quest shareholders just approved the company's $28/share acquisition by Dell. IDCC +3.2% AH. Comment! [Tech, On the Move, Consumer]
- Monday, July 23, 2012, 1:31 PM Dell (DELL) has won the FTC's blessing to acquire systems management software vendor Quest Software (QSFT). The news isn't surprising, given Dell's share of the systems management market is small relative to that of rivals IBM and H-P. Quest is instrumental both to Dell's ambitions for turning its software ops into a $5B/year business, and offering integrated hardware/software solutions for virtualization deployments. 2 Comments [Tech, M&A]
- Thursday, July 5, 2012, 1:48 PM Dell's (DELL) purchase of Quest Software (QSFT) is the by-product of growing demand for integrated hardware/software solutions, says Information Week's Charles Babcock. A hardware-centric approach isn't enough for many companies deploying virtualized servers, and Quest's virtualization backup and management solutions fill a major hole in Dell's arsenal. However, Evercore's Rob Chira is concerned integrating Quest's diverse product line, the result of several acquisitions, won't be easy. Comment! [Tech]
- Monday, July 2, 2012, 5:29 PM Deutsche praises Dell's (DELL -1%) purchase of Quest Software (QSFT). The firm expects the deal, which will decrease Dell's cash balance by $2.4B, will be accretive to 2013 EPS by $0.04-$0.07. BMO also likes the deal, but has concerns about Quest's slow license revenue growth. Software chief John Swainson (previous) says Quest will be "the cornerstone" of Dell's software ops. Dell, hungry to lessen its PC dependence, has made a string of software acquisitions (I, II, III). Comment! [Tech, Quick Ideas, M&A]
- Monday, July 2, 2012, 8:36 AM Quest Software (QSFT) is halted on news that Dell (DELL) will be acquiring it for $28/share ($2.4B), slightly higher than the expected $27.50/share. 1 Comment [Tech, Breaking News, M&A]
- Monday, July 2, 2012, 5:06 AM Dell (DELL) is set to announce as soon as this morning that it's buying Quest Software (QSFT), sources say. The final price for the deal isn't known yet, though Dell reportedly offered $27.50/share last week, or roughly $2.3B. (previously) Comment! [Tech]
- Monday, June 25, 2012, 10:28 AM Reuters reports Dell (DELL -2.7%), unsurprisingly, is the "strategic bidder" that just made a $27.50/share offer for Quest Software (QSFT +5.4%). Quest is currently changing hands at $27.64. Comment! [Tech, M&A, On the Move]

[On the Move] - Monday, June 25, 2012, 9:04 AM Quest Software's (QSFT +5%) secret strategic admirer comes back with an increased $2.32B bid for the company, which is higher than the $2.17B proposed by P-E firm Insight. The suitor, possibly Dell (DELL), offered $27.50/share, or a 5% premium to Quest's Friday close of $26.22. (PR) Comment! [Tech, Top Stories, On the Move]
- Tuesday, June 19, 2012, 6:40 PM Quest Software (QSFT), which closed at $26.52 today, announces it has amended its merger agreement with Insight Venture. Insight's buyout price is now $25.75/share, up from a prior $23/share. As part of the amendment, which is the result of a $25.50/share bid reportedly from Dell (DELL), Quest has agreed to increase its termination fee to $25M from a prior $6.3M. Quest -1.6% AH to $26.10. Comment! [Tech, M&A, On the Move]
- Monday, June 18, 2012, 2:39 PM After hardly moving most of today, Quest Software (QSFT +1.9%) has spiked to $26.68 on a Bloomberg report that Insight Venture has topped Dell's (DELL) reported $25.50/share offer for the company. Quest remarked previously that Insight maintained "certain matching rights" related to third-party offers. Comment! [Tech, On the Move, M&A]
- Thursday, June 14, 2012, 4:48 PM Dell (DELL) is the "strategic bidder" Quest Software (QSFT +9.2%) referred to this morning when it announced it has received a $25.50/share buyout offer, sources tell Reuters. Prior talks with Dell reportedly involved a buyout price of $23-$26/share before breaking down. Quest closed at $26.06 today, which indicates speculators are once more betting on a higher bid arriving. Comment! [Tech, M&A]
- Thursday, June 14, 2012, 9:12 AM More on Quest Software's buyout offer: The offer, said to come from a "strategic bidder," comes nearly two weeks after it was reported talks with Dell broke down. Quest adds the terms of a merger agreement "have been fully negotiated," but notes Insight Venture is said to maintain "certain matching rights" related to its offer. QSFT +8.4%. (PR) Comment! Losers: AEGR -10%. CS -9%. NOK -9%. DDD -6%. Comment! [On the Move] - Thursday, June 14, 2012, 9:01 AM Quest Software (QSFT) +8.2% to $25.81 after it receives a buyout offer of $25.50 a share. That's above yesterday's close of $23.81 and is a "superior proposal" to Insight Venture's bid of $23. (previous) (PR) 1 Comment [M&A, Breaking News, On the Move, Tech]
- Friday, June 1, 2012, 3:16 PM Reuters reports negotiations have broken off in Dell's (DELL -1.9%) attempt to buy Quest Software (QSFT -5.2%). A week ago, Dell was said to be on the verge of a deal for QSFT at a price of $23-$26. Comment! [Tech, M&A, On the Move]
