[On the Move] - Monday, April 15, 11:48 AM Sprint (S +13.3%) confirms it has received Dish Network's (DISH -5.7%) merger offer, and says it will evaluate it. Today's decline in Dish shares lowers the value of the equity portion of the offer by about $450M, resulting in a total deal value of $25.15B (an 8% premium to SoftBank's (SFTBF.PK) offer). (PR) (more on Dish/Sprint) Comment! [Tech, M&A]
- Monday, April 15, 10:22 AM Verizon Wireless (VZ, VOD) was the company that offered $1B-$1.5B for some of Clearwire's (CLWR -2.8%) spectrum, the WSJ reports. Meanwhile, Dish (DISH -6.4%) says it hasn't formally withdrawn its $3.30/share offer for Clearwire, but would honor Sprint's (S +14.9%) $2.97/share offer. Naturally, Dish touts the potential of a Sprint merger to enable triple/quad-play bundles - a recent Consumer Reports survey drove highlighted their popularity. CEO Charlie Ergen also talks up the implications of soaring mobile data usage, and compares Dish's strategy to a Seinfeld episode where everything comes together in the last 2 minutes. 2 Comments [Tech, M&A, On the Move]
- Monday, April 15, 9:24 AM Sprint (S) +15.6%, Clearwire (CLWR) -2.8%, Dish Network (DISH) -1.7%, and DirecTV (DTV) -1.1%, as the Street mulls the implications of Dish's $25.5B offer for Sprint (S). Dish, which has been looking for a partner for its 4G spectrum, claims a merger will result in $13B in cost/capex synergies, and yield a company with 20% EBITDA growth. Dish would fund the $17.3B cash portion of the deal using $8.2B in existing cash + debt, and foresees debt ratings of B1/B+. Sprint shareholders would own 32% of the company. No one ever accused Charlie Ergen of thinking small. (offer letter) (Dish fact sheet) (Clearwire spectrum offer) (Dish/Clearwire) 3 Comments [Tech, M&A, On the Move, Consumer]

Comment! [On the Move] - Monday, April 15, 6:43 AM DISH Network (DISH) confirms its $25.5B bid for Sprint Nextel (S +10.9%), which it says "delivers substantial synergies and growth opportunities estimated at $37B in net present value, including an estimated $11 billion in cost savings" and delivers "superior value to Sprint shareholders, including greater ownership in a combined company that is better positioned for the future with more spectrum, products, subscribers, financial scale and new opportunities." The $17.3B cash/$8.2B stock offer represents a 13% premium to the value of the existing Softbank (SBTBF.PK, SBTBY.PK) proposal. 1 Comment [Breaking News, On the Move]
- Monday, April 15, 6:28 AM DISH Network's (DISH) $25.5B bid ($4.76 in cash and about $2.24 in Dish stock) for Sprint Nextel (S) is "an effort to derail the No. 3 U.S. wireless carrier's acquisition by Softbank (SBTBF.PK, SBTBY.PK). "We think we've made an offer that's much more compelling than the Softbank transaction," Dish chairman Charles Ergen says. Combining Dish with Sprint would allow Dish to serve up its own nationwide triple-play - video, high-speed internet and voice service - in one package. Premarket S +9.8% to $6.83. 1 Comment [Breaking News, Tech, M&A]
- Monday, April 15, 6:20 AM DISH Network (DISH) launches informal $7/share, $25.5B cash and stock bid for Sprint (S). (WSJ) Comment! [Breaking News, M&A, Tech]
- Friday, April 12, 6:33 PM On April 8, Clearwire (CLWR) received an offer from a "strategic buyer" to buy spectrum leases "generally located in large markets that cover approximately 5 billion MHz-POP" for a price of $1B-$1.5B, less the present value of the leases. Clearwire, which made the disclosure in a new 14A, says it will evaluate the offer. The disclosure comes on a day when Bloomberg reports Dish Network, whose $3.30/share offer for Clearwire remains outstanding, approached Deutsche Telekom about possibly merging with T-Mobile USA. CLWR +2.5% AH to $3.34. 7 Comments [Tech, M&A, On the Move]
- Friday, April 12, 2:47 PM Upcoming FCC spectrum auctions should be structured to guarantee smaller nationwide carriers - no doubt T-Mobile (DTEGY.PK) and Sprint (S) - are able to purchase a fair share, so as to "improve the competitive dynamic among nationwide carriers and benefit consumers," the DOJ argues in a public filing. Verizon Wireless (VZ, VOD) and AT&T (T), who are already complaining the auctions (arriving in 2014 or later) will cap how much spectrum they can acquire, can't be happy to hear that. 2 Comments [Tech]
- Wednesday, April 10, 9:40 AM Clearwire (CLWR) receives yet another alternative financing proposal from a money manager. Hedge fund Aurelius Capital is offering Clearwire $80M in convertible debt financing as a replacement for the funds it's receiving from Sprint (S). Last week, Crest Financial offered Clearwire $240M in convertible debt financing. Though taking Sprint's money and still officially supporting its $2.97/share buyout offer, Clearwire still hasn't made a final decision on Dish Network's $3.30/share bid. 17 Comments [Tech]
- Wednesday, April 3, 4:37 PM Disgruntled Clearwire (CLWR) investor Crest Financial is offering Clearwire $240M in convertible debt financing as an alternative to the $80M/month in financing being provided by Sprint (S). Crest, which considers Sprint's $2.97/share deal to acquire Clearwire insufficient, argues its funds would leave Clearwire with enough capital to build 2K 4G LTE cell sites and handle this year's interest payments. Clearwire closed at $3.28 today, 10% above Sprint's offer price. 4 Comments [Tech, M&A]
- Friday, March 29, 6:37 AM Sprint (S) and SoftBank (SFTBF.PK) have agreed not to use infrastructure equipment made by China's Huawei as part of the conditions under which U.S. authorities will approve SoftBank's acquisition of Sprint. Clearwire (CLWR), which Sprint is looking to buy outright, will replace Huawei products in its network. The agreement comes amid security fears about Chinese telecom-equipment suppliers. 5 Comments [Tech, Consumer]
- Thursday, March 28, 10:14 AM For the second month in a row, Clearwire (CLWR -0.5%) will be receiving $80M in convertible debt financing from Sprint (S +1.6%), even as it continues talking to Dish Network. Sprint agreed to provide Clearwire $800M in financing via 10 monthly installments as part of their merger terms. Separately, the WSJ reports U.S. regulators want the right to oversee Sprint's equipment purchases in exchange for signing off on the SoftBank (SFTBF.PK) deal, with the apparent intention of keeping China's Huawei and ZTE from landing orders. (previous) 3 Comments [Tech, M&A]
- Friday, March 22, 12:34 PM FCC chairman Julius Genachowski confirms he's resigning. He'll be leaving the commission "in the coming weeks" after holding its top job for nearly 4 years, and his departure will result in 2 of its 5 seats being unfilled. Of the 3 that remain, 2 are Democrats and 1 is a Republican. Genachowski departs as the FCC continues to draw up plans for 2014 spectrum auctions meant to address soaring mobile data usage. (yesterday) Comment! [Tech]
- Friday, March 15, 12:26 PM With its cable spectrum purchases on the books, Verizon Wireless (VZ, VOD) is planning to build 5K 4G cell sites this year in the AWS band, whose airwaves feature less range but more bandwidth than those in the 700 MHz. band where Verizon's 4G buildout has taken place. The expansion suggests Verizon is now focused on improving 4G capacity/speeds rather than coverage (where it has an edge). Separately, Wells Fargo says checks indicate Verizon is taking share from AT&T (T), that both are taking share from Sprint (S), and that Sprint is taking share from T-Mobile. 1 Comment [Tech]
