- Monday, February 4, 12:54 PM AT&T (T), Verizon (VZ), and other U.S. telcos are on edge over an FCC proposal to free up spectrum for public Wi-Fi networks that could significantly lower mobile data usage. Intel and Qualcomm want the spectrum to be licensed, and Cisco is raising interference concerns - all 3 have an interest in keeping carriers happy. However, Google and Microsoft support the proposal. With carrier data ARPUs surging and voice ARPUs declining, the stakes are high. If the project goes ahead, it could benefit telecom Wi-Fi hardware providers RKUS, ERIC, and ARUN. 5 Comments [Tech]
- Friday, February 1, 4:39 PM The fact Clearwire (CLWR +0.3%) is still weighing Dish Network's (DISH +1.1%) $3.30/share offer and hasn't yet accepted $80M in February financing from Sprint (S +0.9%) indicates Dish's offer "must not be so illusory after all," says BTIG's Walter Piecyk. He also thinks "Sprint’s discussions with Clearwire don’t appear to be faring too well," given the carriers haven't nailed down terms for an accelerated 4G buildout, and have extended the deadline for reaching them by a month. (previous) 3 Comments [Tech, M&A]
- Friday, February 1, 9:50 AM Clearwire (CLWR +1.3%) rises slightly to $3.22 after stating it continues to evaluate Dish Network's (DISH +0.8%) complex $3.30/share offer for the company, though it continues to recommend Sprint's (S +0.4%) $2.97/share offer for now. In order to maintain its flexibility, Clearwire still hasn't exercised an option to receive $80M in deal-related financing from Sprint. Many still view Dish's offer as a gambit meant to bring Sprint to the negotiating table. (more) Comment! [Tech, M&A]
- Tuesday, January 29, 1:08 PM The DOJ is asking the FCC to delay its decision on SoftBank's (SFTBF.PK) acquisition of 70% of Sprint (S +0.9%) until a national security review is completed. Meanwhile Dish Network (DISH +1.1%), perhaps looking to stay on Sprint's good side, says it won't file a petition with the FCC to block the SoftBank deal. Clearwire (CLWR -2.1%), which has agreed to a $2.97/share offer from Sprint and has received a $3.30/share offer from Dish, is lower on the news. (earlier) Comment! [Tech, M&A]
- Tuesday, January 29, 6:57 AM Some Clearwire (CLWR) investors are pushing Sprint (S) to at least match the $3.30-a-share put out on the table by Dish Network (DISH), even if consummation of a CLWR-DISH deal is judged to be a long shot. Glenview Capital Management plans to reject Sprint’s current offer, while Taran Asset Management is already on record with a complaint to the FCC over the bid. 4 Comments [Tech]
- Sunday, January 27, 3:03 AM Consumers who buy phones from cellular carriers no longer have legal protection to unlock the devices so they can work on another operator's network. Under a change in regulation from the Library of Congress's Copyright Office that came into force yesterday, unlocking phones is not expressly permitted under law. "It may go to court some time, and then it will be up to a judge," says lawyer Mitch Stoltz. 22 Comments [Tech, Consumer]
- Monday, January 21, 3:11 AM Nokia Siemens Networks reportedly plans to issue €700M worth of high-yield bonds in the Spring to test investor interest in the company and assess the potential of a possible IPO. However, Nokia (NOK) and Siemens (S) have no plans to exit the telecom-equipment company, which has enjoyed a turnaround with three straight quarters of underlying profitability. 15 Comments [Tech]
- Friday, January 18, 5:04 PM Following Dish Network's (DISH) $3.30/share bid, Clearwire (CLWR) shareholders are getting more vocal about the perceived inadequacy of Sprint's (S) $2.97/share offer for the 4G network/spectrum owner. Investors controlling 29% of Clearwire's minority shares, including activist firms Mount Kellett and Crest Financial, told Reuters they disapprove of Sprint's offer. A majority of minority shares need to be voted in favor of the deal for it go through. (previous) Comment! [Tech, M&A]
- Monday, January 14, 8:44 AM In addition to Verizon (see here), UBS downgrades Sprint (S -1.35% to $5.84) to "Neutral" from "Buy" but maintains its price target at $6. Sprint will "remain range bound in the near term given our expectations for lower Q4 profitability," says UBS, although it expects the telecom operator to complete its proposed acquisition of Clearwire (CLWR) despite the uncertainty. Comment! [Tech, Consumer]
- Thursday, January 10, 4:50 AM Sprint (S) reportedly feels no pressure to increase its $2B, $2.97-a-share offer for Clearwire after Dish (DISH) proposed $3.30, and thinks a bidding war is unlikely. Despite Sprint owning just over 50% of Clearwire, the latter is duty bound to consider the offer from Dish, which might receive support from Crest Financial, Clearwire's second-largest shareholder with 8% and a vocal critic of the Sprint bid. 2 Comments [Tech, Consumer]
- Wednesday, January 9, 10:45 AM "It's hard for me to imagine that what Dish wants is Clearwire ... It could be a chess move to get a partnership with Sprint," opines Bernstein's Craig Moffett. Jefferies and Macquarie also think Dish's (DISH +2.1%) $3.30/share offer for Clearwire (CLWR +7.7%) is an attempt to cut a deal with Sprint (S -1.4%), long named as a potential 4G partner but currently in the midst of selling itself to SoftBank (SFTBF.PK). Macquarie adds a $3.50-$3.75/share Sprint bid might be needed to get Dish and dissident shareholders to back down. PCS +1.8%. LEAP +0.9%. 7 Comments [Tech, On the Move, M&A]
- Tuesday, January 8, 7:26 PM Clearwire (CLWR) has resumed trading after disclosing Dish Network (DISH) has made a complex $3.30/share offer for the company. Shares +9.3% AH to $3.19. The fact Sprint (S) owns a majority of Clearwire shares and (given its rhetoric) might legally contest any agreement with Dish could be limiting Clearwire's gains. 6 Comments [Tech, On the Move]

After-hours top losers: APOL -4%. S -3%. CREE -3%. CLDT -2%. PZE -2%. 1 Comment [On the Move] - Tuesday, January 8, 5:29 PM Clearwire (CLWR) has received an unsolicited $3.30/share buyout offer from Dish Network (DISH). That easily trumps Sprint's (S) $2.97/share offer. The proposal requires Clearwire sell Dish 24% of its spectrum for $2.2B and use the proceeds to pay down debt, as well as (with extra financing) agree to build a 4G network for Dish. Sprint has responded to the proposal by calling it "not viable ... in light of Clearwire's current legal and contractual obligations." Clearwire's board will "engage with Dish;" shares are halted. Sprint -2.5% AH. Dish -2%. 7 Comments [Tech, On the Move, M&A, Breaking News]
- Monday, January 7, 6:46 PM CES phone news roundup: 1) Huawei is trying to one-up Samsung's 5.5" Galaxy Note II by launching the 6.1" Ascend Mate. Will consumers finally reject a phone for being too big? 2) Vizio, bane of TV brands worldwide, is releasing 2 Android devices - one with a 5" 1080p display, another with a 4.7" display and unibody design. Given Vizio's track record, expect pricing to be aggressive. 3) Alcatel (ALU) is reaffirming its smartphone commitment by launching 3 new Android models, one of which has an OLED display and is just 6.45mm thick. 4) Sprint (S) says its first Windows Phone 8 devices will arrive this summer, courtesy of Samsung and HTC. Update: Vizio has also announced Android tablets powered by Nvidia's Tegra 4 processor. 3 Comments [Tech]
- Sunday, January 6, 2:33 AM Crest Financial, which owns 8% of Clearwire (CLWR), intends to ask the FCC to block Sprint's (S) acquisition of the approximately 50% of Clearwire it doesn't own and the sale of 70% of Sprint to Japan's Softbank. Crest says the $2.2B Sprint-Clearwire deal "grossly undervalues Clearwire" and therefore the operator's spectrum holdings, which would hurt government revenue from auctions of licenses. The Crest request would add to one from Dish (DISH). 6 Comments [Tech, Consumer]
