- Thursday, November 1, 2012, 2:29 PM Clearwire (CLWR +6%) treks higher after Mount Kellett Capital, which owns 7.3% of the carrier, issues a letter voicing concerns about Sprint's (S +0.8%) Eagle River share purchase, which leaves it with a majority stake and board control, and the potential for a conflict of interests. Mount Kellett wants Clearwire to "sell a substantial portion of the Company's excess spectrum," something Sprint may not be keen on doing. (also) 5 Comments [Tech, On the Move]
- Friday, October 26, 2012, 5:37 PM Clearwire (CLWR +5.6%) finished the day with a decent gain after announcing it plans to delay some 4G investments, and is sharply lowering its 2012 capex forecast as a result. The fact Sprint's (S -0.2%) own 4G buildout is facing delays likely influenced Clearwire's plans. During its earnings call, Clearwire claimed it has enough cash for another 12 months, while stressing Sprint doesn't gain "any additional governance rights" as a result of now having a 50%+ stake. Comment! [Tech, On the Move]
- Thursday, October 25, 2012, 12:18 PM Apple (AAPL -1%) is slipping ahead of today's FQ4 report. Sprint disclosed this morning it sold 1.5M iPhones in Q3, even with Q2 - Verizon and AT&T had both reported Q/Q increases in iPhone sales. At this point, U.S. iPhone sales and perhaps also total iPad sales are known quantities. The big wild cards are Europe (pressured by macro issues and Android sales) and China (some macro/Android concerns, but also a place where smartphone demand is strong and Apple's sales have been soaring). The Street will also be paying close attention to any color on supply constraints. (yesterday) 6 Comments [Tech]
- Thursday, October 25, 2012, 7:02 AM Sprint Nextel (S): Q3 EPS of -$0.26 beats by $0.14. Revenue of $8.76B in-line. (PR) Comment! [Earnings]

- Friday, October 19, 2012, 5:35 PM Sprint (S -2.2%) may add to its Clearwire (CLWR -8.9%) stake by picking up shares from other strategic investors, says CEO Dan Hesse. His comments come shortly after Sprint boosted its stake to 50.8% by acquiring Eagle River Holdings' shares, and Bloomberg reported Sprint has approached Intel and Comcast (previous) about buying their stakes. However, Hesse adds Sprint "just never made an offer to buy all of Clearwire, that’s just not on the table." (more on Sprint/Clearwire) 3 Comments [Tech, M&A]
- Friday, October 19, 2012, 2:52 PM "You say the [U.S. mobile] market is overly saturated. I think that’s totally wrong ... I would say in the near future three lines, four lines, five lines per capita is possible," says SoftBank CEO Masayoshi Son, showing a clear interest in boosting Sprint's (S) subscriptions for tablets and other non-phone devices. AT&T (T) and Verizon (VZ) have sought to boost non-phone subscriptions via their shared data plans, but the plans are generally costlier than the ones that preceded them. (MetroPCS) (also) 3 Comments [Tech]
- Friday, October 19, 2012, 10:22 AM Clearwire (CLWR -8.4%) falls some more after SoftBank CEO Masayoshi Son says he remains open to bidding on MetroPCS, a move that would further lower the odds of Sprint buying Clearwire in full near-term. Shares have already tumbled this week in response to other bad news (I, II) on this front, but remain up 45% since the first reports of a Sprint/SoftBank deal arrived. 10 Comments [Tech, On the Move]
- Friday, October 19, 2012, 5:04 AM Softbank's $20.1B acquisition of Sprint (S) could be complicated by the Japanese operator's purchase of equipment from Huawei and ZTE, which the House Intelligence Committee views as a security risk. "This deal will probably end up getting approved but with a very detailed national security agreement," says Stewart Baker, a former Homeland Security Department official. Comment! [Consumer, Tech, M&A]
- Thursday, October 18, 2012, 5:48 PM SoftBank (SFTBF.PK) CEO Masayoshi Son says he won't rule out making a bid for MetroPCS (PCS), currently slated to merge with T-Mobile USA. The fact SoftBank's deal to acquire 70% of Sprint (S) includes an $8B cash infusion could allow Sprint to make an offer on SoftBank's behalf. The MetroPCS/T-Mobile deal features a $150M termination fee. (more on PCS/T-Mobile) (more on SoftBank/Sprint) 1 Comment [Tech, M&A]

Sprint (S +0.5%) acquires control of Clearwire (CLWR -8%) after buying out one of the the latter's other investors, Eagle River Holdings, with the deal giving Sprint a stake of 50.8%.
12 Comments [Top Stories, M&A, Tech, Consumer, Breaking News] - Wednesday, October 17, 2012, 7:57 PM Sprint (S) is working on a fancy move to take control of Clearwire without buying it, according to sources. Instead, Sprint may cut a deal with other major Clearwire investors - including Comcast and Intel - that would allow it to appoint a majority of directors to Clearwire's board. CLWR +4.4% AH. 7 Comments [M&A, Tech, On the Move]
- Tuesday, October 16, 2012, 3:12 PM Bernstein suggests the terms of Sprint's (S +0.1%) complex deal with SoftBank leave shares undervalued at current levels: the firms points out that if the newly capitalized Sprint is worth $6/share, current shares are worth $6.72 (~$1 above present levels) after accounting for the 55% of current shares that will be sold for $7.30, and the 45% that will be converted. SA's Ted Barac also sees a buying opportunity, particularly since the deal will strengthen Sprint's balance sheet while reducing its float. (more) 8 Comments [Tech, Quick Ideas]
- Tuesday, October 16, 2012, 7:29 AM Clearwire (CLWR) -16% premarket after Sprint (S) last night said it wasn't planning an imminent takeover of the company. 3 Comments [Tech, On the Move, M&A]
- Monday, October 15, 2012, 9:14 PM Sprint (S) says it isn't planning any immediate takeover of Clearwire (CLWR), tabling any talk of a deal for at least 6-8 months until the Softbank deal closes. Shares of Clearwire jumped 16% today on speculation of an imminent takeover, and have skyrocketed 78% over the last two trading days the previous week. Despite the fervor, a deal between the two is speculative at best. S doesn’t need to own CLWR because it already has access to its spectrum, and its very expensive to boot. 12 Comments [Tech, M&A]
