- Monday, May 13, 11:46 AM H-P (HPQ -1.2%) offered to sell its Autonomy unit to SAP at some point before last month, but the German software giant wasn't interested, co-CEO Bill McDermott tells The Times. Odds are the offer price was well below the $11.1B H-P paid in 2011 for the enterprise search/analytics software vendor, the subject of a giant write-down, shareholder lawsuits, fraud investigations, plunging license sales, massive employee turnover, and other woe. Meg Whitman was saying all the right things about supporting Autonomy last month. Update: H-P responds by stating it has "no interest in selling Autonomy," and that SAP is the one that made inquiries about software asset sales (with H-P turning them down). 1 Comment [Tech, M&A]
- Thursday, March 7, 10:40 AM SAP (SAP +1.3%) acquires Camilion, a developer of software for building insurance products and underwriting tools, for an undisclosed sum. Camilion complements SAP's existing insurance software offerings, and the software giant argues the purchase gives it a leg up in offering an integrated platform. Property/casualty insurance software firm Guidewire (GWRE -0.9%) is off a bit. Comment! [Tech, M&A]
- Monday, February 25, 2:12 PM SAP (SAP -0.1%) strengthens its supply-chain management (SCM) hand by acquiring SmartOps, a developer of software that uses algorithms to optimize inventory, predict demand, and manage distribution networks. SAP notes SmartOps complements its existing SCM apps, and will help it develop real-time SCM analytics software powered by its Hana in-memory database. Separately, SAP is rolling out a mobile document access/management product; the company's Sybase unit is already a top developer of enterprise mobile apps. Comment! [Tech, M&A]
- Friday, September 28, 2012, 6:07 PM The DOJ has approved SAP's $4.3B ($45/share) acquisition of Ariba (ARBA), following a somewhat lengthy review. The news comes shortly after SAP announced U.K. regulators have also given their blessing to the deal, which will make SAP a dominant player in enterprise procurement software and the owner of a top B2B e-commerce network. Comment! [Tech, M&A]
- Monday, August 27, 2012, 9:34 AM More on IBM-Kenexa: The acquisition is notable given IBM, a major provider of "infrastructure" software such as databases, systems management, and middleware, has tread cautiously in application software, out of fear of disturbing partnerships. Not everyone expected Big Blue to respond to SAP and Oracle's cloud HR moves in kind. The Kenexa deal speaks of the growth opportunity IBM sees in cloud application software, and the increasing willingness of IT giants to step on each others' toes to pursue growth. 1 Comment [Tech, M&A]
- Monday, August 27, 2012, 9:18 AM IBM is buying cloud HR software vendor Kenexa (KNXA) for $1.3B, or $46/share. The price represents a 42% premium to Kenexa's Friday close. The acquisition follows SAP and Oracle's purchases of peers SuccessFactors and Taleo, and comes as Workday, another big name in the space, prepares an IPO. Cornerstone OnDemand (CSOD), a cloud HR name that hasn't found a buyer yet, could trade higher on the news. IBM expects the acquisition to close in Q4. (PR) 1 Comment [Tech, On the Move, M&A, Breaking News]
- Monday, August 20, 2012, 10:02 AM SAP is open to making more acquisitions, says co-CEO Jim Hagemann Snabe; he adds the enterprise software giant wants 2/3 of its long-term growth to come through internal expansion, and 1/3 from M&A. SAP has committed $7.7B over the last nine months to acquiring enterprise cloud software vendors SuccessFactors and Ariba. (more on SAP's cloud efforts: I, II, III) Comment! [Tech, M&A]
- Tuesday, July 3, 2012, 12:33 PM Ariba (ARBA -0.5%), which is set to be acquired for $45/share by SAP, slips to $44.53 after the DOJ issues a second request for information as part of its review of the deal. While there are some concerns about the dominant position of an SAP-Ariba combo in enterprise procurement software, most expect the deal to go through. Comment! [Tech, M&A]
- Wednesday, May 23, 2012, 2:46 PM Though it didn't come cheap, UBS and Nomura are praising SAP's (SAP -0.7%) $4.3B acquisition (I, II) of Ariba (ARBA). The former notes the kind of B2B transactions handled by Ariba's network cover 63% of all trade, and the latter argues the deal will help SAP achieve its goal of obtaining €2B in cloud revenue in 2015. Smaller Ariba rival SciQuest (SQI +6.2%) is rallying for the second straight day. Comment! [Tech, M&A, On the Move]
- Tuesday, May 22, 2012, 3:14 PM More on SAP/Ariba: The purchase follows SAP's $3.4B acquisition of cloud HR software vendor SuccessFactors, and gives it a set of products and services that complement its core ERP software solutions. Also, Ariba's market leadership means there are no major rivals Oracle (ORCL) can acquire in response, though SciQuest (SQI +1.6%), a much smaller competitor, is rallying a bit. SAP is nearly unchanged, Ariba will resume trading at 3:15 PM ET. 1 Comment [Tech, M&A, On the Move]
- Tuesday, May 22, 2012, 2:59 PM SAP is acquiring cloud spend management software/B2B e-commerce network owner Ariba (ARBA) for $45/share in cash, or $4.3B. The price represents an 18% premium to Ariba's final trade before shares were halted at 2:30 PM ET. The deal will be funded using a combo of SAP's existing cash and a €2.4B term loan facility. SAP expects it to close in Q3, and be accretive to 2013 EPS. (PR) (previous) Comment! [Tech, M&A, On the Move, Breaking News]
- Tuesday, May 22, 2012, 2:54 PM Ariba (ARBA) halted for news, and the buzz is that SAP is agreeing to buy the company for $45/share, a 20% premium to yesterday's closing price. Comment! [Tech, Breaking News, M&A]
- Tuesday, April 10, 2012, 2:05 PM SAP announces that it will acquire privately-held Syclo in a deal that will boost its ability to build out enterprise mobile apps for a variety of industries. Financial terms of the deal were not disclosed. Comment! [Global & FX, M&A]
- Tuesday, March 6, 2012, 6:54 PM SAP, which just acquired SuccessFactors for $3.4B, is looking to "add new businesses every 18 months or so," says co-CEO Jim Snabe. Like other SAP execs, Snabe boasts his company has undergone a major cultural shift as of late, and that it wants to be a major player in collaboration software. Could that last remark be a sign SAP is eying Yammer or Jive Software (JIVE - previously)? Comment! [Tech, M&A]
- Saturday, February 25, 2012, 10:15 AM Cloud software companies are being acquired left and right (I, II, III, IV), but most of these deals will be failures for the acquirers, says industry exec Flip Filipowski. The acquired companies sport agile, dynamic cultures whose best talent won't stick around post-merger, rather than deal with the bureaucracy of a larger firm. As a result, the acquiring companies will often end up fielding "immature half-baked offerings" that are surpassed by new upstarts. 6 Comments [Tech, M&A]
- Thursday, February 9, 2012, 8:56 AM More on the Oracle (ORCL) - Taleo (TLEO) deal: Larry Elison used to be famously dismissive of cloud computing but Oracle is delving further and further with the purchase of Taleo, a provider of online human resources software. The deal also follows on the heels of SAP (SAP) buying Taleo peer SuccessFactors for $3.4B. Comment! [M&A, Tech, Top Stories]

What's the best way to play SaaS growth? Buy stocks like $CSOD & $WDAY, or short $SAP& $ORCL? - View all 12 replies
-
Modernist: Its not 1:1! SaaS is a push towards efficiency. Net earnings of sellers will be reduced. -
Jorge Aura: In my humble opinion, I think that playing short in $ORCL is a good idea, but the stock has a short % of float in 0.80%.
