Microsoft (MSFT) and SAP will appear before EU regulators tomorrow to air their views on Oracle's (ORCL) plan to buy Sun Microsystems (JAVA) for $7B, sources say. The EC objected to the hook-up, saying the combination of Sun's MySQL database product and Oracle's products could squeeze competition in the database market, and is set to rule on the merger by Jan. 27.

Business-software giant SAP (SAP) offers to acquire SAF Simulation, Analysis & Forecasting AG for €11.50 per share, a 9.5% premium over SAF's closing price on Friday. Two major SAF holders with a total 38% of shares agree to vote for the deal.

SAP (SAP +2.7%) gets a lift from Jefferies analyst Ross MacMillan, who predicts Q2 will end SAP's year-over-license declines. MacMillan also notes that at 12x forward earnings, shares are at their lowest price compared to rival Oracle (ORCL -1%) in half a decade.

There's speculation Microsoft's (MSFT) debt issue is a precursor to a bid for software firm SAP (SAP). Steve Ballmer responds "that is just market rumor and market talk, and I will leave it at that. I have nothing to say of rumors of acquisitions, positively or negatively."

SAP (SAP) had a weak finish to Q1, analyst Yun Kim says, predicting Q1 license revenue will come in well below the current consensus of €500M. Kim also says SAP's pipeline for the rest of the year seems weak, which could further impact margins. SAP -4% to $39.89.
