T vs. ETF Alternatives
Company Description
AT&T, formerly known as SBC Communications Inc. (SBC), was formed as one of several regional holding companies created to hold AT&T Corp.’s (ATTC) local telephone companies. On January 1, 1984, we were spun-off from ATTC pursuant to an anti-trust consent decree, becoming an independent publicly... More

- Sunday, November 27, 2011, 3:37 AM AT&T (T) may offer to sell up to 40% of T-Mobile USA’s assets to salvage their $39B (DTEGY.PK) deal, Bloomberg reports. The divestment would be far higher than AT&T's initial expectations, but with a small pool of potential buyers, Macquarie analyst Kevin Smithen is skeptical the carrier will find a "successful divestiture solution." (previous) 4 Comments [Tech, Consumer, M&A]
- Saturday, November 26, 2011, 9:00 AM Analysts are still holding out a bit of hope that AT&T (T) can succeed in acquiring T-Mobile USA (DTEGY.PK). Wells Fargo thinks AT&T's decision to pull its FCC application could give the company a chance to make a new push in a more favorable political climate, while Nomura believes AT&T's $4B charge was compelled by GAAP accounting rules, and isn't necessarily an "admission of defeat." 3 Comments [M&A]
- Friday, November 25, 2011, 7:24 AM Following more news the deal for AT&T (T) to aquire T-mobile (DTEGY.PK) has hit the skids, Telephone is off 1.9% premarket. T-mobile parent Deutsche Telekom +0.8% in Frankfurt. Comment! [M&A]
- Thursday, November 24, 2011, 3:51 AM AT&T (T) withdraws its FCC application for its T-Mobile deal, saying it will instead focus on gaining DoJ antitrust approval for now. AT&T will also take a $4B charge in Q4 to reflect potential deal-breakup payments to Deutsche Telekom (DTEGY.PK). (previously) 6 Comments [Top Stories, Tech, M&A]
- Tuesday, November 22, 2011, 4:12 PM Sounding like a possible death blow to the deal, FCC head Julius Genachowski will seek an administrative hearing on AT&T's (T) proposed $39B acquisition of T-Mobile (DTEGY.PK). The deal already faces opposition from the DOJ, which has filed a lawsuit to stop it. 2 Comments [Tech, M&A, U.S. Economy]
- Tuesday, November 8, 2011, 2:31 PM U.S. AG Eric Holder pours cold water on talk of a settlement in the Justice Department's antitrust challenge to AT&T's (T) $39B takeover of T-Mobile (DTEGY.PK), saying his lawyers are "ready and eager" to fight the case in court. DOJ has been emboldened by its victory last week in blocking a deal by H&R Block (HRB), the first time in eight years it fought a merger in court and won. 1 Comment [Tech, M&A]
- Monday, November 7, 2011, 10:39 AM Sprint (S), which is opposing AT&T’s (T) proposed takeover of T-Mobile USA (DTEGY.PK), has been ordered to turn over documents concerning whether its iPhone (AAPL) sales have had any impact on Sprint’s relevant market share. AT&T is interested if Sprint has any plans for a “business combination” with T-Mobile if the AT&T transaction is blocked. Comment! [Tech, M&A]
- Friday, November 4, 2011, 12:12 PM AT&T (T -1.3%) pushes back expected closing dates for its proposed purchases of T-Mobile USA (DTEGY.PK) and a block of Qualcomm (QCOM -0.2%) spectrum by as much as three months each. AT&T now says it expects to close the $39B T-Mobile takeover by the end of next year's first half, and the spectrum purchase should be closed by the end of Q1 2012. 1 Comment [Tech, M&A]
- Tuesday, October 25, 2011, 8:48 AM Sprint's (S) antitrust lawsuit against AT&T (T) began yesterday with skepticism from U.S. District Judge Ellen Huvelle over whether it has a legal right to challenge AT&T’s proposed $39B acquisition of T-Mobile USA (DTEGY.PK). "You don't stand in the shoes of the consumer," she told Sprint lawyers, adding that antitrust law exists to protect competition, not competitors. 1 Comment [Tech, M&A]
- Thursday, October 20, 2011, 3:57 PM MetroPCS (PCS +3.4%) gains after Bloomberg reports the discount carrier is the frontrunner to acquire subscribers and spectrum AT&T (T) and T-Mobile (DTEGY.PK) plan to divest in order to gain approval for their merger. Rival Leap Wireless (LEAP +3.8%) is also said to be in talks with AT&T, but MetroPCS has a stronger balance sheet. (previously) Comment! [On the Move, M&A]
- Thursday, October 13, 2011, 4:54 PM Much like deal opponent Sprint (S), the FCC appears skeptical of AT&T's (T) claim its planned merger with T-Mobile will create jobs. The agency, whose Chairman claims to have "serious concerns" about the merger, has sent Ma Bell a letter (.pdf) asking for further details on the merger's job effect, calling AT&T's responses thus far "incomplete." Comment! [M&A]
- Wednesday, September 21, 2011, 4:46 PM While the DOJ and Sprint (S) oppose the AT&T/T-Mobile (T) merger, Verizon (VZ), which could benefit from the removal of T-Mobile as a low-cost competitor, continues to give the deal its tacit support. CEO Lowell McAdam demonstrates this support again today by claiming the merger "had to occur" due to spectrum shortages. Comment! [M&A]
- Tuesday, September 20, 2011, 1:43 PM CNBC reports 100 GOP House members have sent a letter to the the President saying killing the AT&T (T +2%)/T-Mobile (DTEGY.PK +3.1%) deal will thwart job creation. The house delegation is clearly talking in the general sense, as the immediate effect of a merger is likely to mean the layoff of thousands. 5 Comments [M&A, Tech, Breaking News]
- Monday, September 19, 2011, 6:46 AM AT&T (T) is trying to get rivals including MetroPCS (PCS) and Leap Wireless (LEAP) to sell spectrum and subscribers to rivals like Sprint (S) in the hopes of rescuing its $39B takeover of T-Mobile (DTEGF.PK) from the clutches of a DOJ anti-competition lawsuit. A botched deal would cost AT&T $3B-plus-perks. 3 Comments [Tech, M&A]
- Friday, September 16, 2011, 1:15 PM The market might have doubts about the AT&T/T-Mobile (T) merger following the DOJ's suit, but S&P's Todd Rosenbluth is confident the deal will occur, believing AT&T will offer needed concessions during next week's hearings. He's also bullish on AT&T due to its "healthy dividend, high smartphone penetration, and room for margin expansion." 1 Comment [M&A, Quick Ideas]
- Friday, September 9, 2011, 4:46 PM AT&T (T) responds to the Justice Department's attempt to block its takeover of T-Mobile USA (DTEGY.PK), saying the combination is good for consumers and will ensure better service. But its soft diss of its merger partner as "the only major carrier to have actually lost subscribers in a robustly growing market" has a strange ring. 1 Comment [Tech, M&A]
