- Thursday, May 12, 2011, 2:11 PM AT&T (T) has promised to give Deutsche Telekom (DTEGY.PK) $6B - $3B in cash plus $2B worth of spectrum and a roaming agreement valued at $1B - as a breakup fee if U.S. regulators reject its proposed $39B purchase of T-Mobile USA, Reuters reports. The previously known cash agreement already is unusually high at 7.7% of the total deal price; the additions would imply a huge 15.4% break-up fee. 1 Comment [M&A]

On Capitol Hill, AT&T (T -0.4%) chief Randall Stephenson says the proposed T-Mobile (DTEGY.PK) buyout is about capacity, as the firm's running out of airwaves and needs spectrum to "drive innovation and competitive prices." Meanwhile, Sprint Nextel (S -1.1%) CEO Dan Hesse previews his testimony at Sprint's annual meeting, saying the "very bad" AT&T deal will create a "1980s-style duopoly."
