    TransDigm Group (TDG -3.2%) says one of its subsidiaries is planning to offer $500M of senior subordinated notes due 2021 in a private offering. The company intends to use the net proceeds, together with an additional $700M made up of incremental term loans and cash on hand, to fund a $1B to $1.8B dividend payment. Separately, Moody's puts [TDG's ratings on review for a possible downgrade following the announcement.

    TransDigm Group (TDG +2.8%) says it's requested amendments to its senior secured credit facilities in connection with the possible payment of a special dividend. The amendments seek to increase the company's existing senior secured term facility by $700M and to change certain ratios. TDG is considering paying a cash dividend of $1B - $1.8B with the proceeds.

    TransDigm Group (TDG -4.1%) slips today after its FQ4 missed estimates across the board. The company also issued a downbeat view for FY13. It now forecasts its EPS to come in around $6.54 - $6.98 on revenues of $1.8B - $1.9B. The Street view is for an EPS of $7.58 on revenues of $1.95B. The stock has been hammered over the past few weeks due to concerns about a potential sequestration if the fiscal cliff issue isn't resolved. The company's products include military aircraft components, and the already deep Pentagon budget cuts are liable to get worse if that happens.

    Transdigm Group (TDG +2.5%) agrees to acquire Goodrich's pump and engine control systems business from United Technologies (UTX -0.7%) for ~$236M. The business expects ~$195M in 2012 revenues with EBITDA in the low teens as a percent of revenue.

    TransDigm Group (TDG +4.8%) trades up after its FQ1 beat estimates earlier today. Profits soared 50% Y/Y due to prior-year refinancing costs and a big boost from acquisitions. The company also raises its FY12 forecast, now expecting an EPS between $5.66 - $6 on revenue of $1.47B - $1.51B, above the Street EPS view of $5.58 on $1.47B in revenue.

    TransDigm Group (TDG +3.5%) acquires privately-held aircraft components manufacturer Harco Laboratories for approximately $84M in cash. The purchase, subject to review under the Hart-Scott-Rodino Act and other customary closing conditions, is expected to close late in the first quarter of fiscal 2012.

    After delaying non-essential aircraft maintenance for nearly three years, airlines are now forced to ramp-up on neglected retro-fitting and overhauls. This should benefit aftermarket servicers like Spirit Aerosytems (SPR +3.5%), TransDigm (TDG +2.6%), Johnson Controls (JCI +0.8%), and GE +1.6%.
