- Wednesday, May 22, 3:27 PM Terex (TEX -2.3%) gives back all the love plus more from an earlier Barclays upgrade to Overweight. The bank says that despite the stock recent 20% runup this month, it sees more upside from its consistent execution, leverage to an improving crane cycle and still-positive trends in the aerial-work-platform space. Comment! [On the Move, Commodities]
- Wednesday, April 24, 6:15 PM More on Terex (TEX): Q1 misses across the board as total sales decline 5% Y/Y. Net earnings increased 3.9% on better margins and lower overhead expenses. Overhead expenses were down 3%, while interest expense fell 18%. Gross margin widened to 19% from 18.2%. Comment! [Earnings]
- Wednesday, April 24, 5:16 PM Terex (TEX): Q1 EPS of $0.23 misses by $0.07. Revenue of $1.72B (-5% Y/Y) misses by $120M. (PR). Comment! [Earnings, Breaking News]

- Friday, April 5, 2:38 PM Terex (TEX -2.8%) is downgraded to Market Perform at Wells Fargo, which cites increased concerns about the market for construction cranes. In addition to sluggish U.S. capital investment trends pressuring demand for TEX's products, the firm sees further deterioration in EU construction trends weighing on crane demand. 1 Comment [Quick Ideas, On the Move]
- Tuesday, February 19, 6:15 PM Terex Corporation (TEX): Q4 EPS of -$0.28 may not be comparable to consensus of $0.40. Revenue of $1.70B misses by $130M. Shares -2.3% AH. (PR) Comment! [Earnings, Breaking News, On the Move]

After-hours top losers: TEX -7%. MCP -6%. OSK -6%. LVNTA -5%. SIVB -4%. Comment! [On the Move] - Monday, December 24, 2012, 10:23 AM Microsoft (MSFT), EMC, Expedia (EXPE), and Terex (TEX) all generate free cash flow well in excess of their earnings, notes Barron's, something it thinks value investors should give heed to. Microsoft trades at 9.6x estimated EPS for its current fiscal year, but just 7.9x FCF. For EMC, the multiples are 15.1x and 11.5x; for Expedia, 19.2x and 15.2x; and for Terex, 13.3x and 6.9x. Also, though by no means a value play, Red Hat (RHT) trades at 23x next year's FCF, compared with 40x EPS. 1 Comment [Tech, Quick Ideas]
- Thursday, October 25, 2012, 2:41 PM Construction machinery maker Terex (TEX -5.3%) gets hit after beating on its Q3 EPS report but coming up short on revenue earlier this morning. Profit declined 18% Y/Y as sales weakened in its construction and cranes segments. CEO Ron DeFeo notes that macroeconomic events have created near-term softening of demand and uncertainty in many of its business segments. As a result, the company now expects full-year revenue to come in at the low end of its guidance. 1 Comment [Earnings, On the Move]
- Wednesday, October 24, 2012, 7:10 PM Terex (TEX): Q3 EPS of $0.62 beats by $0.13. Revenue of $1.82B (+1% Y/Y) misses by $150M. (PR) Comment! [Earnings]

- Tuesday, October 23, 2012, 10:09 AM Over 100 Demag Cranes shareholders are suing Terex (TEX) for a payout of up to €200M following its $1.4B acquisition of the German company, Reuters reports. Under German law, companies that acquire 75% or more of another firm must offer compensation to remaining shareholders based on a company valuation, not the original bid price. Terex has offered €45.52/share but the investors want over €100. Comment! [M&A]

Terex is a diversified global equipment manufacturer of a variety of machinery products. We are focused on delivering reliable, customer-driven solutions for a wide range of commercial applications, including the construction, infrastructure, quarrying, shipping, transportation, power and energy industries. We operate in four reportable segments: (i) Aerial Work Platforms; (ii) Construction; (iii) Cranes; and (iv) Materials Processing.
On December 20, 2009, we signed a definitive agreement for the divestiture of our Mining business, and as a result, this business is reflected as a discontinued operation in this Annual Report. With the completion of the divestiture on February 19, 2010, we have completed the first step in our strategy to transform Terex from what has historically been predominately a construction and mining equipment company to a manufacturer of more diverse niche machinery and industrial products.
We view our purpose as making products that will be used to improve the lives of people around the world. Our mission is to delight our customers with value added offerings that exceed their current and future needs. Our vision focuses on our commitments to our core constituencies of customers, stakeholders and team members by providing our customers with a superior ownership experience, our stakeholders with a profitable enterprise that increases value, and our team members with a preferred place to work.
Our Company was incorporated in Delaware in October 1986 as Terex U.S.A., Inc. We have changed significantly since that time, achieving $4.0 billion of net sales in 2009. Much of our historic growth has been achieved through acquisitions, and, over the past five years, we increased our focus on becoming a superb operating company under the Terex franchise. Now, following consummation of the sale of our Mining business, we foresee increasing our acquisition activity through targeted transactions intended to broaden our businesses and product categories.
As we have grown, our business has become increasingly international in scope, with our products manufactured in North and South America, Europe, Australia and Asia and sold worldwide. We are focusing on expanding our business globally, with an increased emphasis on developing markets such as China, India, Russia, the Middle East and Latin America.
As of December 31, 2009, we had approximately 15,900 employees, including approximately 5,000 employees in the U.S. Approximately 11% of our employees in the U.S. are represented by labor unions. Outside of the U.S., we enter into employment contracts and collective agreements in those countries in which such relationships are mandatory or customary. The provisions of these agreements correspond in each case with the required or customary terms in the subject jurisdiction. We generally consider our relations with our employees to be good.
