Sources say the battle between Time Warner Cable (TWC -1.6%) and News Corp. (NWS -1.1%) over Fox insisting on cash payments for its subscribers could get bloody, with both sides fully prepared to "go dark" if an agreement isn't reached by the deadline of midnight, Dec. 31.

Clearwire (CLWR +1.4%) confirms it's raising another $1.5B. Sprint Nextel (S) will put up $1.18B; Comcast (CMCSA) $196M. Time Warner Cable (TWC) $103M. Intel (INTC) $50M. Eagle River $20M. And Bright House Networks $19M. Google (GOOG), also a key JV partner, took a pass. Clearwire will also sell $1.45B in senior secured notes to pay off an existing facility.

Sources say Sprint Nextel (S) and a number of its Clearwire JV (CLWR +6.9%) partners are preparing to pump another $1.5B or more into the wireless broadband provider. $1B of a new infusion would come from Sprint, with Comcast (CMCSA), Intel (INTC), Time Warner Cable (TWC) and Bright House Networks kicking in another $500M. Google (GOOG), a key JV partner, isn't thought to be involved in this round.

With cable-ownership limits struck down, a Citi analyst urges a megamerger of Comcast (CMCSA +1%) and Time Warner Cable (TWC +3%), saying the deal could result in $2.7B in cost savings, as well as an investment grade rating and a simpler wireless strategy.

Following Comcast's (CMCSA) announcement of a Web TV service in July, Time Warner Cable (TWC) and Verizon (VZ) say separately they will test offering shows on the Web to their customers.

Sources say cable networks and pay-TV providers (CMCSA, TWC, DTV) - struggling to make money from online video - are readying systems that limit their web shows to paying subscribers. According to a recent report, more than 40% of adults under 35 watch internet TV, which should have cable companies worried. "If more content comes online for free, you can bet that more people will join us as 'Hulu households' instead of spending $80 a month on digital cable." (TWC, CVC, CMCSA)
