Audio- and video-monitoring company Nice Systems (NICE +7.4%) is reportedly in talks to acquire rival Verint (VRNT +10.9%) for $1.5B in cash and stock in a deal that would represent a 19% premium on the latter's market cap of $1.26B. Nice would use its $422M cash reserves to help pay for the transaction, which would boost its presence in the defense sector - 75% of the the firm's sales are to the civilian sector.

Verint (VRNT) agrees to acquire Comverse Technology (CMVT) in a stock swap deal following the completion of CMVT's previously announced distribution of its telecom business and other assets. The deal would eliminate CMVT's majority ownership in and control of VRNT. CMVT +5.1% premarket.

RIM (RIMM) denies yet another report it has given the Indian government encryption keys to its secure corporate email and messaging services, saying that it doesn't have such keys, which are held by its clients. The Economic Times says RIM recently demonstrated technology developed by Verint (VRNT) that can provide the access the government's looking for.

Top line margins were boosted by strong sequential revenue growth in both its enterprise and security intelligence markets, as well as in all three regions - Americas, EMEA, and APAC. Shares +1% AH.

Verint Systems (VRNT) Q3 results beat on revenue, but miss on a per share basis as higher product costs continue to chip away at its margins. Gross margin narrowed to 64.8% from 68.4% as the cost of product revenue jumped 26%. Not surprisingly, the company guides FY11 lower, now expecting an EPS in the range of $2.35 - $2.50, versus previous estimates of $2.50.

Verint Systems (VRNT +2.6%), a maker of voice and video analysis products for the security and business intelligence markets, finished higher after reporting FQ2 results. Though EPS of $0.57 missed consensus by $0.03, revenue of $195.7M beat by $4.6M, and the company raised its FY12 revenue growth guidance to 9% from 8%.

Comverse Technology (CMVT.PK) is likely to pursue a sale of its Verint Systems (VRNT.PK) subsidiary in a deal that could fetch $2B, WSJ reports. Comverse, which for years has been tangled up in an options backdating scandal, has a few more financial statements to file to comply with regulatory requirements; it is then expected to look for potential buyers.
