InBev expects an initially cold reception, but thinks Busch would ultimately warm to a bid. BUD shares are trading up 6.8% at 10:30 AM.</li><!--more-->

  <li><strong><a href="http://www.dealreporter.com/">Harris actively pursued.</a></strong> According to DealReporter, Harris Corp. (HRS) is in talks with multiple suitors, who are very interested in a potential deal at a price range of $70-75 (current price $64).</li>

  <li><strong><a href="http://www.cnbc.com/id/24776769/for/cnbc/">Bill Miller still undecided on Icahn.</a></strong> Legg Mason's (LM) Bill Miller hasn't decided whether he wants to support Carl Icahn's dissident Yahoo (YHOO) board slate. Miller's fund controls a 5.4% stake in Yahoo. He would like Microsoft (MSFT) to buy Yahoo, not just a search ad join-up. "Microsoft would be crazy to give up this opportunity that we've handed them in this fight," Icahn said recently.</li>

  <li><strong><a href="http://www.reuters.com/article/domesticNews/idUSWBT00904320080523">Drivers turn thrifty.</a></strong> U.S. drivers drove 4.3% less miles this March than last, a sign Americans are indeed cutting back in the face of soaring gasoline prices. It marks the first March decline since 1979.</li>

Noteworthy, the report says the government is largely to blame, due to its foot-dragging over switching air-traffic control from radar to satellite.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aDVlgLKyeiZI&refer=home3">BCE buyout failure could boost LBO market.</a></strong> One unexpected benefit of a potential collapse in BCE's (BCE) $53B private-equity buyout: It would eliminate $16.8B from the U.S. LBO backlog, a full 20.6%, which could in turn help the debt's depressed prices bounce back. "It's the largest piece of the pipeline out there and would be a boost to the market," CreditSights Chris Taggert says. Bondholders unexpectedly won a court decision Wednesday that allows them to challenge the deal, effectively blockading it.</li>

  <li><strong><a href="http://www.pcper.com/#NewsID-5674">Nvidia to acquire RayScale.</a></strong> Nvidia (NVDA) is on the verge of announcing the acquisition of RayScale, a ray-tracing software company. The move may advance Nvidia's stance on merging traditional rasterization with ray tracing.</li>

  <li><strong><a href="http://in.reuters.com/article/businessNews/idINIndia-33738120080523">Arcelor eyes Russian company.</a></strong> ArcelorMittal (MT) is in talks to acquire its first Russian factory. "They are interested in producing steel plates and pressed parts for the automotive industry. St. Petersburg is a good place because of a big sea port and the ease of importing steel," a source says. MT is the world's #1 steel maker.</li>

Prices also fell 1.7% from last quarter, the largest quarterly drop on record. "The large overhang of real estate inventory awaiting sale continues to force price declines," Ofheo chief economist Patrick Lawler said.<!--more--></li>

  <li><strong><a href="http://www.reuters.com/article/ousiv/idUSL2344815620080523?sp=true">Ballmer distances himself from Yahoo.</a></strong> Microsoft (MSFT) CEO Steve Ballmer says its bid for Yahoo was "never the strategy we were pursuing," (ok, so what was it?), and that the company now has $50B to spend on other strategic acquisitions. He denied speculation of a tie-up between Adobe's (ADBE) Flash technology and Microsoft's Silverlight as a move to forestall a possible Apple (AAPL)/Adobe merger.</li>

<li><strong><a href="http://blogs.zdnet.com/BTL/?p=8893">Yahoo pushes off shareholder meeting.</a></strong> Yahoo (YHOO) delayed its annual shareholder meeting from July 3 to "around the end of July." The move may give Yahoo more time to stave off a proxy fight with activist shareholder Carl Icahn. Icahn will have to reduce his proposed slate to 9 from 10, after Yahoo veteran board member Edward Kozel resigned to spend more time with his family.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121148523200515073.html">Google makes pitch for white space.</a></strong> Google (GOOG) CEO Larry Page urged Congress and the FCC to open up so-called white space -- TV's unused spectrum. Page says the move would ultimately "blanket" the U.S. with wireless internet access. The FCC has tested white space devices from Motorola (MOT), Microsoft (MSFT) and Philips Electronics (PHG), but has thus far found flaws. Separately, Page said a Microsoft (MSFT)/Yahoo (YHOO) merger would give the two 90% of the communications market -- but that a proposed Google/Yahoo search ad deal could be structured to be reasonable.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aMEDZOLZ_GWM">Halliburton hounds Expro.</a></strong> Halliburton (HAL) put in a £1.71B ($3.38B) bid for U.K. oilfield-services company Expro International Group plc, trumping an agreed-upon private-equity deal worth £1.6B. Oil services companies are boosting activity due to robust oil prices and strong demand.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121148205671814931.html">Regulators wary on BHP/Rio tie-up.</a></strong> European regulators are scrutinizing BHP Billiton's (BHP) $188.5B bid for Rio Tinto (RTP) amid concerns a merger could further lift already high steel prices. BHP CEO Marium Kloppers claims a linkup would result in synergies that could boost iron ore (a critical steel component) production and ease prices, and says he's confident authorities won't block the deal (to which Rio has not agreed). Eurofer, Europe's steel trade and lobbying group, and the China Iron and Steel Association, are opposed to the merger.</li>

  <li><strong><a href="http://www.cnbc.com/id/24774352">Fed frets foreclosure.</a></strong> Fed governor Randall Kroszner said the rising rate of foreclosures is an urgent problem that requires non-traditional remedies. "High loan-to-value ratios at origination, combined with stagnant and eventually declining home prices, are a key aspect of the recent rise in delinquencies and foreclosures," he said, adding that "risk layering" maneuvers such as piggyback loans and negative amortization are compounding the problem.</li>

  <li><strong><a href="http://www.economicnews.ca/cepnews/wire/article/83456">Paulson says end of credit crunch in sight.</a></strong> Treasury Secretary Henry Paulson says the U.S. is approaching the end of the credit crisis. He expressed confidence current policies will succeed in addressing economic issues. "Ultimately, the fundamentals will restore confidence in the U.S. economy."</li>

  <li><strong><a href="http://online.wsj.com/article/SB121150183062515937.html">Weather Channel bidders down to two.</a></strong> Time Warner (TWX) and an NBC (GE)/Blackstone (BX) partnership are the lead contenders in today's round-two of the Weather Channel auction, sources say. Bids, due today, are expected to come in at $3-4B. Dropouts include CBS (CBS), Liberty Media (LCAPA) and Comcast (CMCSA). Time Warner would join the Weather Channel with CNN (both are in Atlanta), resulting in staff reductions. NBC would merge it with its NBC Weather Plus.</li>

  <li><strong><a href="http://www.reuters.com/article/ousiv/idUSL2332745320080523?sp=true">Merrill shrinking asset book.</a></strong> Merrill Lynch (MER) is setting up a unit to dump underperforming assets such as CDOs. Fixed-income, currencies and commodities assets are among those the group will look to exit.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=axroAjWaaT0c&refer=home">NYSE losing grip.</a></strong> Trading on the NYSE (NYX) fell 26% to the lowest since 2001 as traders move their business to alternative options such ECNs Bats Trading and Direct Edge. Nasdaq (NDAQ) trade volume is at its lowest level in more than three years. This, despite an overall jump in trade volume of U.S. equities. A noteworthy side issue is that trading systems that depend on NYSE and Nasdaq trade volume data as a critical input are losing their edge.</li>

  <li><strong><a href="http://www.forbes.com/feeds/ap/2008/05/23/ap5042856.html">Wyeth drug delayed.</a></strong> The FDA again denied approval of Wyeth's (WYE) osteoporosis drug bazedoxifene, saying it wants more information on stroke and blood-clot issues. Wyeth says the request was expected.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aDU0f7rRRUP0&refer=home">Kerkorian wants more Ford.</a></strong> Kirk Kerkorian increased his loan request from Bank of America (BAC) to buy Ford (F) shares to $600M from $500M. Kerkorian revealed in late April a 4.6% stake. Ford (F) yesterday <strong><a href="http://www.cnbc.com/id/24774288">warned</a></strong> it will not hit a key return-to-profitability target in 2009, sending shares down 8%. CEO Alan Mulally now expects to be "about break-even" in 2009 before taxes and special items. "Unless there is a fairly rapid turnaround in U.S. business conditions, which we are not anticipating, it now looks like it will take longer than expected to achieve our North American automotive profitability goal."</li>

  <li><strong><a href="http://www.reuters.com/article/ousiv/idUSN2251234220080523">American Axle strike history.</a></strong> The UAW strike at American Axle & Manufacturing (AXL), which decimated much of General Motors' (GM) production, is officially over.</li>

  <li><strong><a href="http://www.fanniemae.com/ir/pdf/monthly/2008/043008.pdf;jsessionid=1ZOFILUDCV3PFJ2FECHSFGA">Fannie's mortgage purchases jump.</a></strong> Fannie Mae's (FNM) mortgage purchase commitments soared 9.8% in April to $30.7B. Refinance activity fell 19.7%, following a 24.9% drop the month before.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aIfF1Fi4ENus&refer=home">Debt defaults ominous.</a></strong> Global corporate debt defaults in 2008 have already surpassed 2007's total. S&P reports 28 defaults on $18.9B in debt. Diane Vazza, head of S&P's global fixed-income research group, says defaults will hit 4.7% over the coming year. "Defaults could be significantly more pronounced and severe, especially if the recession would be deeper and longer than expected."</li>
</ul>

  <li><strong>Aeropostale (ARO):</strong> Q1 EPS of $0.26 just <strong><font color="green">beats</font></strong> consensus of $0.25. Revenue of $336M (+21.9%) vs. consensus of $332M. Sees Q2 EPS of $0.22-0.24 vs. consensus of $0.24.</li>

  <li><strong>Alkermes (ALKS):</strong> Full-year EPS of $0.31 <strong><font color="green">beats</font></strong> consensus of $0.15. Revenue of $241M in-line. Sees 2009 EPS of -$0.16 to -$0.11, <strong><font color="red">short of</font></strong> consensus of $0.19, and revenue of $175-200M vs. consensus of $246M.</li>

  <li><strong>Aruba Networks (ARUN):</strong> FQ3 EPS of -$0.01 in-line. Revenue of $42.6M (+22.8%) in-line.</li>

  <li><strong>Black Box (BBOX):</strong> FQ4 EPS of $0.74 <strong><font color="red">misses</font></strong> consensus of $0.77. Revenue of $245M (-2%) vs. consensus of $242M. Sees 2009 revenues of $1B vs. consensus of $1.05B.</li>

He denied speculation of a tie-up between Adobe's (ADBE) Flash technology and Microsoft's Silverlight as a move to forestall a possible Apple (AAPL)/Adobe merger.</li>

<li><strong><a href="http://blogs.zdnet.com/BTL/?p=8893">Yahoo pushes off shareholder meeting.</a></strong> Yahoo (YHOO) delayed its annual shareholder meeting from July 3 to "around the end of July." The move may give Yahoo more time to stave off a proxy fight with activist shareholder Carl Icahn. Icahn will have to reduce his proposed slate to 9 from 10, after Yahoo veteran board member Edward Kozel resigned to spend more time with his family.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121148523200515073.html">Google makes pitch for white space.</a></strong> Google (GOOG) CEO Larry Page urged Congress and the FCC to open up so-called white space -- TV's unused spectrum. Page says the move would ultimately "blanket" the U.S. with wireless internet access. The FCC has tested white space devices from Motorola (MOT), Microsoft (MSFT) and Philips Electronics (PHG), but has thus far found flaws. Separately, Page said a Microsoft (MSFT)/Yahoo (YHOO) merger would give the two 90% of the communications market -- but that a proposed Google/Yahoo search ad deal could be structured to be reasonable.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aMEDZOLZ_GWM">Halliburton hounds Expro.</a></strong> Halliburton (HAL) put in a £1.71B ($3.38B) bid for U.K. oilfield-services company Expro International Group plc, trumping an agreed-upon private-equity deal worth £1.6B. Oil services companies are boosting activity due to robust oil prices and strong demand.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121148205671814931.html">Regulators wary on BHP/Rio tie-up.</a></strong> European regulators are scrutinizing BHP Billiton's (BHP) $188.5B bid for Rio Tinto (RTP) amid concerns a merger could further lift already high steel prices. BHP CEO Marium Kloppers claims a linkup would result in synergies that could boost iron ore (a critical steel component) production and ease prices, and says he's confident authorities won't block the deal (to which Rio has not agreed). Eurofer, Europe's steel trade and lobbying group, and the China Iron and Steel Association, are opposed to the merger.</li>

  <li><strong><a href="http://www.cnbc.com/id/24774352">Fed frets foreclosure.</a></strong> Fed governor Randall Kroszner said the rising rate of foreclosures is an urgent problem that requires non-traditional remedies. "High loan-to-value ratios at origination, combined with stagnant and eventually declining home prices, are a key aspect of the recent rise in delinquencies and foreclosures," he said, adding that "risk layering" maneuvers such as piggyback loans and negative amortization are compounding the problem.</li>

  <li><strong><a href="http://www.economicnews.ca/cepnews/wire/article/83456">Paulson says end of credit crunch in sight.</a></strong> Treasury Secretary Henry Paulson says the U.S. is approaching the end of the credit crisis. He expressed confidence current policies will succeed in addressing economic issues. "Ultimately, the fundamentals will restore confidence in the U.S. economy."</li>

  <li><strong><a href="http://online.wsj.com/article/SB121150183062515937.html">Weather Channel bidders down to two.</a></strong> Time Warner (TWX) and an NBC (GE)/Blackstone (BX) partnership are the lead contenders in today's round-two of the Weather Channel auction, sources say. Bids, due today, are expected to come in at $3-4B. Dropouts include CBS (CBS), Liberty Media (LCAPA) and Comcast (CMCSA). Time Warner would join the Weather Channel with CNN (both are in Atlanta), resulting in staff reductions. NBC would merge it with its NBC Weather Plus.</li>

  <li><strong><a href="http://www.reuters.com/article/ousiv/idUSL2332745320080523?sp=true">Merrill shrinking asset book.</a></strong> Merrill Lynch (MER) is setting up a unit to dump underperforming assets such as CDOs. Fixed-income, currencies and commodities assets are among those the group will look to exit.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=axroAjWaaT0c&refer=home">NYSE losing grip.</a></strong> Trading on the NYSE (NYX) fell 26% to the lowest since 2001 as traders move their business to alternative options such ECNs Bats Trading and Direct Edge. Nasdaq (NDAQ) trade volume is at its lowest level in more than three years. This, despite an overall jump in trade volume of U.S. equities. A noteworthy side issue is that trading systems that depend on NYSE and Nasdaq trade volume data as a critical input are losing their edge.</li>

  <li><strong><a href="http://www.forbes.com/feeds/ap/2008/05/23/ap5042856.html">Wyeth drug delayed.</a></strong> The FDA again denied approval of Wyeth's (WYE) osteoporosis drug bazedoxifene, saying it wants more information on stroke and blood-clot issues. Wyeth says the request was expected.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aDU0f7rRRUP0&refer=home">Kerkorian wants more Ford.</a></strong> Kirk Kerkorian increased his loan request from Bank of America (BAC) to buy Ford (F) shares to $600M from $500M. Kerkorian revealed in late April a 4.6% stake. Ford (F) yesterday <strong><a href="http://www.cnbc.com/id/24774288">warned</a></strong> it will not hit a key return-to-profitability target in 2009, sending shares down 8%. CEO Alan Mulally now expects to be "about break-even" in 2009 before taxes and special items. "Unless there is a fairly rapid turnaround in U.S. business conditions, which we are not anticipating, it now looks like it will take longer than expected to achieve our North American automotive profitability goal."</li>

  <li><strong><a href="http://www.reuters.com/article/ousiv/idUSN2251234220080523">American Axle strike history.</a></strong> The UAW strike at American Axle & Manufacturing (AXL), which decimated much of General Motors' (GM) production, is officially over.</li>

  <li><strong><a href="http://www.fanniemae.com/ir/pdf/monthly/2008/043008.pdf;jsessionid=1ZOFILUDCV3PFJ2FECHSFGA">Fannie's mortgage purchases jump.</a></strong> Fannie Mae's (FNM) mortgage purchase commitments soared 9.8% in April to $30.7B. Refinance activity fell 19.7%, following a 24.9% drop the month before.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aIfF1Fi4ENus&refer=home">Debt defaults ominous.</a></strong> Global corporate debt defaults in 2008 have already surpassed 2007's total. S&P reports 28 defaults on $18.9B in debt. Diane Vazza, head of S&P's global fixed-income research group, says defaults will hit 4.7% over the coming year. "Defaults could be significantly more pronounced and severe, especially if the recession would be deeper and longer than expected."</li>

<li><strong><a href="http://www.reuters.com/article/marketsNews/idINN2144574420080521?rpc=44">Some oil co.'s have all the luck.</a></strong> Petrobras (PBR) says it has struck more oil near the huge offshore Tupi field, at about 22K feet below the surface. CEO Jose Sergio Gabrielli de Azevedo said on a <strong><a href="http://www.cnbc.com/id/24762070/site/14081545">CNBC interview</a></strong> PBR is “finding very good results” at its newly discovered off-shore deposits. One unknown is whether Brazil will go after the company for more taxes.<!--more--></li>

<li><strong><a href="http://www.pimco.com/LeftNav/Featured+Market+Commentary/IO/2008/IO+June+2008.htm">Gross's June Outlook.</a></strong> Pimco's Bill Gross says the U.S. is underestimating inflation by at least 1%. He suggests: 1) Avoiding Treasurys because of their "negative (unreal) real yields." 2) TIPS <em>should</em> offer investors CPI protection, but are also risky due to unnaturally low inflation figures. 3) Commodity-based assets and foreign equities denominated in currencies that demonstrate authentic growth and inflation rates. 4) Developing BRIC-like economies.</li>

<li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aifsOWlwkqYM&refer=home">Greenspan: Pimco's secret weapon.</a></strong> Bill Gross says Pimco's consultant former Fed Chairman Alan Greenspan has already made and saved Pimco billions of dollars though his "brilliance in terms of forecasting the potential for exactly what happened." Pimco signed Greenspan last May. He also advises hedge fund Paulson & Co. Gross started piling back into mortgage bonds earlier this year, and exited stakes in "overvalued" Treasurys. "You want to invest where the growth is," Gross said. "The growth is in Asia and the growth is outside the United States." And U.S. fixed-income puts you at a double disadvantage.</li>

<li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=amO.EpcDfEls&refer=home">Oil rally fuel by shorts.</a></strong> The wild-and-wooly oil rally is at least partially due to short covering. Open interest fell 8.1% in a week to 1.36M even as prices rose 2.6% -- a sign traders are buying to exit so-called short positions that would profit if oil fell, and lose money as they rose.</li>

There is very little comparison between any technology they have on premise or online and what we’re able to offer customers. Also don't underestimate that customers want an open solution and Salesforce.com works with all of Microsoft’s products, and with all of Google’s products, and the Blackberry and we work with the iPhone.   <li><strong><a href="http://www.bloomberg.com/apps/news?pid=conewsstory&refer=conews&tkr=BCE:US&sid=aKbN9efdoPq4">BCE buyout stymied; could be biggest-ever deal to collapse.</a></strong> The Quebec Court of Appeal issued a surprise ruling allowing bondholders to challenge BCE's (BCE) $52.9B leveraged buyout because the company failed to consider their interests. Bondholders say the acquisition increases BCE's risk of debt default."The decision effectively terminates the proposed transaction," a lawyer for the bondholders says. The ruling comes amid reports the financing banks were trying to renegotiate terms. BCE and its buyers (Ontario Teachers' Pension Plan, Providence, and Merrill Lynch's (MER) private-equity arm) said they will seek leave to appeal to the Supreme Court of Quebec.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aXm1mPg0MnkE&refer=home">UBS struggles to sell itself.</a></strong> UBS (UBS) revealed the pricing of its recent $15.5B rights issue: Investors received shares at a 31% discount to yesterday's close. Apparently UBS's offering failed to entice buyers; the price is considered an embarrassment for the firm. UBS also finalized its $15B debt sale to BlackRock (BLK) yesterday. Shares have gained 11% since the rights issue was announced on Apr. 1.</li>

<li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=a49kAYYhkVzY&refer=home">NRG confirms Calpine bid.</a></strong> NRG Energy (NRG) made an unsolicited $9.6B offer for Calpine (CPN), a deal that would make it the #1 independent power company in the U.S. The all-stock offer of 0.534 share per Calpine share is a 6.7% premium. "Calpine is an almost pure play on gas-fired generation, so their carbon footprint would be attractive," as companies seek to limit their carbon-dioxide emissions, Calyon analyst Gordon Howald says. "It would be unparalleled. There is nothing like this in the competitive power generation industry," NRG CEO David Crane said. "It's really the ideal that people have talked about from time to time."</li>

  <li><strong><a href="http://seattlepi.nwsource.com/business/364058_baggage22.html">AMR dives on dismal outlook.</a></strong> Shares of American Air parent AMR Corp. (AMR) plummeted 24.15% Wednesday after it announced significant reductions to its 2008 domestic flight schedule and outlined plans to retire at least 75 aircraft -- a response to record fuel prices, economic softness, and a difficult competitive environment. "The airline industry as it is constituted today was not built to withstand oil prices at $125 a barrel, and certainly not when record fuel expenses are coupled with a weak U.S. economy," CEO Gerard Arpey said. American yesterday introduced a $15 fee for the first checked bag.</li>

<li><strong><a href="http://www.economicnews.ca/cepnews/wire/article/82981">Fed likely to stay put.</a></strong> Minutes from the <a href="http://www.federalreserve.gov/newsevents/press/monetary/20080521a.htm">April 29-30 FOMC meeting</a> revealed the Fed's decision to cut its target rate to 2% was a "close call" and that it would be reluctant to cut rates further, even in the face of continuing economic weakness. "The risks to growth were now thought to be more closely balanced by the risks to inflation. Accordingly, the Committee felt that it was no longer appropriate for the statement to emphasize the downside risks to growth," the minutes said.</li>

  <li><strong><a href="http://www.nytimes.com/2008/05/22/business/22insure.html">AIG under attack.</a></strong> The Jacksonville Police and Fire Pension Fund is suing American International Group (AIG) along with several of its executives for inflating its share price by understating its exposure to subprime mortgage losses. The lawsuit alleges AIG's Q1 loss of $7.8B shocked investors after the firm assured them any losses on credit insurance would be limited.</li>

  <li><strong><a href="http://www.delawareonline.com/apps/pbcs.dll/article?AID=/20080522/BUSINESS/80522001/1003">AstraZeneca sued over drug marketing.</a></strong> The Arkansas AG is suing AstraZeneca (AZN) for falsely claiming its antipsychotic medicine Seroquel was safer than less-expensive drugs, and failing to warn patients of its risks. Seroquel produced over $4B in sales in 2007, second to Nexium among AZN's top sellers.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aY7AqdjMpHas&refer=home">Worse than smoking?</a></strong> Pfizer's (PFE) anti-smoking drug Chantix has been linked to more than 3,000 reports of serious side-effects including suicide and heart trouble, a new study says. The FAA Wednesday banned the pill for its pilots. "These data provide a strong signal that the risks have been underestimated, and show that a wide spectrum of serious injuries are being reported in large numbers," the nonprofit Institute for Safe Medication Practices said in its report.</li>

Now it is worried companies may struggle to hit 100M. "The oil investments required may be much, much higher than what people assume," IEA chief economist Fatih Birol says. "This is a dangerous situation." That, coupled with a <strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aDneiOlNhmkQ&refer=home">5.32M drop in U.S. inventories</a></strong> to 320.4M, saw oil top $135 in overnight trading. It's up 19% over the past month.</li><!--more-->

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=conewsstory&refer=conews&tkr=BCE:US&sid=aKbN9efdoPq4">BCE buyout stymied; could be biggest-ever deal to collapse.</a></strong> The Quebec Court of Appeal issued a surprise ruling allowing bondholders to challenge BCE's (BCE) $52.9B leveraged buyout because the company failed to consider their interests. Bondholders say the acquisition increases BCE's risk of debt default."The decision effectively terminates the proposed transaction," a lawyer for the bondholders says. The ruling comes amid reports the financing banks were trying to renegotiate terms. BCE and its buyers (Ontario Teachers' Pension Plan, Providence, and Merrill Lynch's (MER) private-equity arm) said they will seek leave to appeal to the Supreme Court of Quebec.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aXm1mPg0MnkE&refer=home">UBS struggles to sell itself.</a></strong> UBS (UBS) revealed the pricing of its recent $15.5B rights issue: Investors received shares at a 31% discount to yesterday's close. Apparently UBS's offering failed to entice buyers; the price is considered an embarrassment for the firm. UBS also finalized its $15B debt sale to BlackRock (BLK) yesterday. Shares have gained 11% since the rights issue was announced on Apr. 1.</li>

<li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=a49kAYYhkVzY&refer=home">NRG confirms Calpine bid.</a></strong> NRG Energy (NRG) made an unsolicited $9.6B offer for Calpine (CPN), a deal that would make it the #1 independent power company in the U.S. The all-stock offer of 0.534 share per Calpine share is a 6.7% premium. "Calpine is an almost pure play on gas-fired generation, so their carbon footprint would be attractive," as companies seek to limit their carbon-dioxide emissions, Calyon analyst Gordon Howald says. "It would be unparalleled. There is nothing like this in the competitive power generation industry," NRG CEO David Crane said. "It's really the ideal that people have talked about from time to time."</li>

  <li><strong><a href="http://seattlepi.nwsource.com/business/364058_baggage22.html">AMR dives on dismal outlook.</a></strong> Shares of American Air parent AMR Corp. (AMR) plummeted 24.15% Wednesday after it announced significant reductions to its 2008 domestic flight schedule and outlined plans to retire at least 75 aircraft -- a response to record fuel prices, economic softness, and a difficult competitive environment. "The airline industry as it is constituted today was not built to withstand oil prices at $125 a barrel, and certainly not when record fuel expenses are coupled with a weak U.S. economy," CEO Gerard Arpey said. American yesterday introduced a $15 fee for the first checked bag.</li>

<li><strong><a href="http://www.economicnews.ca/cepnews/wire/article/82981">Fed likely to stay put.</a></strong> Minutes from the <a href="http://www.federalreserve.gov/newsevents/press/monetary/20080521a.htm">April 29-30 FOMC meeting</a> revealed the Fed's decision to cut its target rate to 2% was a "close call" and that it would be reluctant to cut rates further, even in the face of continuing economic weakness. "The risks to growth were now thought to be more closely balanced by the risks to inflation. Accordingly, the Committee felt that it was no longer appropriate for the statement to emphasize the downside risks to growth," the minutes said.</li>

  <li><strong><a href="http://www.nytimes.com/2008/05/22/business/22insure.html">AIG under attack.</a></strong> The Jacksonville Police and Fire Pension Fund is suing American International Group (AIG) along with several of its executives for inflating its share price by understating its exposure to subprime mortgage losses. The lawsuit alleges AIG's Q1 loss of $7.8B shocked investors after the firm assured them any losses on credit insurance would be limited.</li>

  <li><strong><a href="http://www.delawareonline.com/apps/pbcs.dll/article?AID=/20080522/BUSINESS/80522001/1003">AstraZeneca sued over drug marketing.</a></strong> The Arkansas AG is suing AstraZeneca (AZN) for falsely claiming its antipsychotic medicine Seroquel was safer than less-expensive drugs, and failing to warn patients of its risks. Seroquel produced over $4B in sales in 2007, second to Nexium among AZN's top sellers.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=aY7AqdjMpHas&refer=home">Worse than smoking?</a></strong> Pfizer's (PFE) anti-smoking drug Chantix has been linked to more than 3,000 reports of serious side-effects including suicide and heart trouble, a new study says. The FAA Wednesday banned the pill for its pilots. "These data provide a strong signal that the risks have been underestimated, and show that a wide spectrum of serious injuries are being reported in large numbers," the nonprofit Institute for Safe Medication Practices said in its report.</li>

"We're bullish on Time Warner Cable's prospects, but its strategic goals and capital needs are increasingly different from those of our other businesses," TWX CEO Jeffrey Bewkes said. He's been under pressure to exit the cable business in order to focus on fixing the ailing AOL.<!--more--></li>

  <li><strong><a href="http://online.wsj.com/article/SB121136250134610255.html">Take that, Google.</a></strong> A Yahoo-less Microsoft (MSFT) has a new search-ad trick up its sleeve: cash rebates for products found through Microsoft's live.com. "Live Search cashback" will get you percentage-based rebates deposited directly to your bank account, PayPal (EBAY) account, or by check. Participating vendors include Canon (CAJ), Barnes & Noble (BKS), Circuit City (CC) and Home Depot (HD).</li>

  <li><strong><a href="http://online.wsj.com/article/SB121131956940608331.html">Icahn group grows.</a></strong> T. Boone Pickens jumped aboard Carl Icahn's movement to topple Yahoo's (YHOO) board in a July 3 vote, buying 10M shares (about 0.75%). Icahn owns or has the option to buy a 4.9% stake in Yahoo. Other teammates include Paulson & Co. (about 3.7%) and Daniel Loeb's Third Point (less than 10M shares). An inside source says the attempt will likely fail due to shareholder support for the current leadership, not to mention co-founders Yang and Filo's 10% stake and Capital World Investors' 10% stake -- and the fact that Microsoft has yet to say it's willing to come back to the table with a new comprehensive offer.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121132903873408981.html">Like two bookends.</a></strong> Barnes & Noble (BKS) is mulling a bid for rival Borders Group (BGP). The pair are number one and two U.S. booksellers with 20-22% and 10-12% market share respectively, so any deal would raise antitrust concerns. Amazon.com (AMZN) is thought to have about 15% of the market. Borders surprised Wall Street by putting itself up for sale in March amid liquidity issues aggrivated by declining sales, a credit market freeze, and its failure to sell some assets. Its current market cap is $384M, but a buyer will also have to assume almost $550M in debt.</li>

  <li><strong><a href="http://www.marketwatch.com/news/story/h-p-reports-16-profit-rise/story.aspx?guid=%7BC474F672%2DAC65%2D4CE4%2D87B1%2DE29ED350CE47%7D">HP satisfies, but doesn't overwhelm.</a></strong> Hewlett-Packard's (HPQ) FQ2 earnings jumped 16% from a year ago, narrowly exceeding consensus estimates (earnings numbers below). Notebook sales were up 31%, but PC sales were flat. Its PC unit kicked in $544M of HP's $2.2B in profits. Imaging and printing earnings were flat at $1.2B. Services profits were $508M, and software earnings were $93M, up from just $7M a year ago. HP said its recent deal to buy Electronic Data Systems (EDS) will boost its market share in enterprise services, and CEO Mark Hurd promised the deal would help HP reduce costs and produce value for shareholders. Shares are flat in early pre-market trading.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=af6xMfKE4mss&refer=home">Corporate Express does deal behind Staples' back.</a></strong> Corporate Express, itself a takeover target of Staples (SPLS), agreed to buy its French rival Lyreco for €1.73B ($2.71B). CE insisted the acquisition was <strong><a href="http://money.cnn.com/news/newsfeeds/articles/djf500/200805210318DOWJONESDJONLINE000353_FORTUNE5.htm">unrelated</a></strong> to Staples' courtship (which it has shunned), although it's clear that CE's post-Staples-offer elevated share price helped enable the move. CE shares fell as much as 8.8% in Amsterdam. Staples took its €2.8B offer directly to shareholders on Monday; it's unclear where things go from here.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121133047664409039.html">Wall Street's latest woe: Hedging.</a></strong> I-banks that hedged risky holdings by shorting indexes that track real-estate assets and leveraged debt are taking a beating as the indexes post hefty gains, while the assets they were hedging have failed to post like up-moves. Lehman (LEH) appears to be the worst hit, with expected hedging losses of $1.5-2B. Morgan Stanley (MS) is thought to have lost less than half of that, and Goldman Sachs (GS) and Merrill Lynch (MER) even less.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601087&sid=atxKM4_PXZVM">Did computer bug trip up Moody's?</a></strong> Moody's (MCO) said it will conduct a thorough investigation after a Financial Times investigation alleged the company erroneously awarded AAA ratings to billions of dollars in debt derivatives due to a computer glitch. FT says internal Moody's documents reveal senior staff knew in early 2007 that AAA-rated CPDOs (constant proportion debt obligations -- which use borrowed money to speculate on an improvement in credit quality) should have been ranked as many as four levels lower.</li>

  <li><strong><a href="http://www.nytimes.com/2008/05/21/business/21deal.html">Penn deal teetering.</a></strong> The $6.1B private-equity buyout of Penn National Gaming (PENN) is under pressure, and the deal's terms may need to be revised to push it through. Buyers, including Fortress Investment Group (FIG), are looking at ways to reduce the purchase price, while the lenders, led by Wachovia (WB) and Deutsche Bank (DB), are balking at the deal's terms. Renegotiations could delay or even kill the deal. Penn's shares, at $43 vs. a deal price of $67, reflect market skepticism.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121132080616708229.html">Journal changing with the Times.</a></strong> News Corp. (NWS) made WSJ's publisher Robert Thomson its new managing editor, replacing Marcus Brauchli. Previously editor of News Corp.'s Times of London, one can assume that this Murdoch insider will speed the pace of change at the Journal and Dow Jones. Besides strong journalistic credentials, Thomson is also prone to use words like "perspicacious" and "incunabulum."</li>

  <li><strong><a href="http://www.jpost.com/servlet/Satellite?cid=1210668683139&pagename=JPost%2FJPArticle%2FShowFull">White House denies imminent Iran attack.</a></strong>  Israel Army Radio reported President Bush intends to attack Iran before the end of his term. The White House denied the report, but conceded the military option had not been taken off the table. "As the President has said, no president of the United States should ever take options off the table, but our preference and our actions for dealing with this matter remain through peaceful diplomatic means. Nothing has changed in that regard."</li><!--more-->

  <li><strong><a href="http://www.reuters.com/article/companyNews/idUSL2079110720080520?sp=true">Hungry for stocks.</a></strong> Global investor confidence (as measured by State Street) rose to 81 in May from 72.3 in April, its highest level in seven months. Equity risk appetite is surging. European investors are the most timid.</li>

  <li><strong><a href="http://www.bloomberg.com/apps/news?pid=20601082&sid=a2vfx4XKMRsk&refer=canada">Arbitrage opp.</a></strong> London shares of Thomson Reuters (RTRSY) are 14% cheaper than their Canadian counterparts, offering a potential arbitrage windfall. UBS analysts say they "cannot think of a fundamental explanation for the difference" and suggest investors may want to bet on the gap closing.</li>

  <li><strong><a href="http://gizmodo.com/391960/iphone-3g-launch-date-confirmed">3G iPhone in less than a month.</a></strong> "Someone very, very close to the 3G iPhone launch has told me that Apple (AAPL) will announce their new model at the WWDC Keynote on June 9. The second-generation iPhone will be available worldwide right after the launch, and not at year's end, as previously thought."</li>

  <li><strong><a href="http://chronicle.com/daily/2008/05/2899n.htm">Student lender dropouts.</a></strong> The Education department is expected to outline new terms for purchasing loans under the rescue provisions approved recently by Congress. The terms are not expected to be favorable to student lenders, fueling speculation SLM (SLM) and others may withdraw from the government's subsidized student-loan program.</li>

  <li><strong><a href="http://business.timesonline.co.uk/tol/business/industry_sectors/technology/article3965896.ece">Google frets renewed talks.</a></strong> Google (GOOG) convened an emergency meeting last night to discuss the implications of a Microsoft (MSFT)/Yahoo (YHOO) search-ad tie-up. Sergey Brin said Jerry Yang could find refuge within Google if pushed out of Yahoo. Execs also said they think Google is recession resistant.</li>

  <li><strong><a href="http://ftalphaville.ft.com/blog/2008/05/20/13165/banks-to-link-dark-liquidity-pools/">Banks link liquidity pools.</a></strong> Goldman (GS), Morgan Stanley (MS) and UBS (UBS) are combining their private stock trading operations, a move they hope will increase liquidity and enhance their competitive stance. Investment banks use liquidity pools to buy and sell large block anonymously at a fixed price.</li>

  <li><strong><a href="http://uk.reuters.com/article/oilRpt/idUKL205682720080520?sp=true">Banking on expensive oil.</a></strong> Oil drillers are increasing oil-price assumptions upon which they base their decisions. BP (BP) is now using $60, and Shell (RDS.A) something higher than that. With oil at almost $130/barrel, this may not seem shocking, but oil companies are notoriously conservative in their planing, and until quite recently assumed long-term prices of just $25.</li>

  <li><strong><a href="http://www.mediabistro.com/tvnewser/cnbc/cnbc_aol_enter_joint_agreement_85194.asp">AOL Money to host CNBC videos.</a></strong> AOL (TWX) announced CNBC (GE) will become a primary content provider for AOL Money & Financial video site.</li>

  <li><strong><a href="http://www.unstrung.com/document.asp?doc_id=154249">Google's WiMAX stake: money, not infrastructure.</a></strong> Google (GOOG) dispelled speculation that its venture into WiMAX with Clearwire (CLWR) might include using Google's "dark fiber" resources to reduce the cost of connecting its mobile sites to the wired internet. "At this time Google's involvement in Clearwire is limited to the terms of its investment and does not include providing network infrastructure," a spokesman said. Google will be the default search engine, and is investing $500M in the venture. Google uses its fiber network to interconnect server farms and create "peering relationships" with major operators.</li>

  <li><strong><a href="http://seattlepi.nwsource.com/business/363793_dreamliner20.html?source=rss">Dreamliner's photo finish.</a></strong> "We are making progress [on the Dreamliner 787]," Boeing (BA) said during a media tour yesterday. Project leader Pat Shanahan says it will be a "photo finish" whether Boeing can meet its "power on" milestone, and admits new "grenades" fall on his desk every half-hour or so. But there haven't been any planet killers, and it's been a while since the last meteor hit. Shanahan says morale on the factory floor is much improved.</li>

  <li><strong><a href="http://www.reuters.com/article/GCA-Agflation/idUSL208914620080520">Food inflation tied to speculation.</a></strong> Spectators are at least partly to blame for skyrocketing commodities prices, the EU says. "There has been increased activity by speculative investors in commodity-related financial markets to hedge price risk or use excess liquidity in the wake of the financial market crisis. These activities lead to increased price movements and volatility on futures and spot commodity markets and have amplified the underlying price movements." Non-speculative factors include poor weather, high energy prices and rising food demand from emerging markets.</li>

  <li><strong><a href="http://online.wsj.com/article/SB121124431310805657.html">Plastic stocks meltdown?</a></strong> Despite a "growing feeling that stand-alone credit-card lenders (<a href="http://seekingalpha.com/symbol/axp">AXP</a>, <a href="http://seekingalpha.com/symbol/dfs">DFS</a>, <a href="http://seekingalpha.com/symbol/cof">COF</a>, <a href="http://seekingalpha.com/symbol/ma">MA</a>, <a href="http://seekingalpha.com/symbol/v">V</a>) will weather the economic slowdown," recent data indicate credit card borrowers are paying back less of their monthly balances, and are finding it harder to catch up once they fall behind. Meanwhile revolving credit outstanding jumped 6.7% in Q1 Y/Y, leading WSJ's Heard on the Street to surmise, "It's a gamble for card companies to lend more to people who are turning to relatively expensive debt because they're cash strapped. And it's a bad bet for investors to load up on the card companies taking that gamble."</li>
