    No there are many reasons but the biggest is the share buyback. It tells me as an investor that the company sees no viable acquisition out on the landscape it would rather invest in itself.

    SIRI is slowly riding itself of it's biggest moat the massive shares outstanding - this is not a buy and flip 2 week stock as many techs are.

    Solid growing subscriber base, telematics, FCF reaching 1B this year, used car initiative only touching the tip of the iceberg and the icing on the cake is the buyback which is almost like a safety net.

    All facts and another is that this purebred dog is 25% off it's 52 week high which it will hit and surpass THIS year due to it's changing fundamentals alone.

    Malone got rid of some very long-term holders of SIRI with his trickery. Although, many of us have simply hibernated as the bears do in winter and we will soon wake up with our roaring bellies hungry for more cheap shares.

    Malone's plans to speak with the special committee is simply a "back off" to any other company who is wishing to buy a HUGE stake in SIRI which Malone wants all to himself. Mr. John Greed Malone, have a scotch on the rocks tonight I hope it's as bitter as this deal was.

    Sure SiriusXM is not getting the tune of > 2 million subs a year but the one's they are getting are PAYING. I don't want subscribers that don't pay I have another word for them there called leeches. Pandora has millions of them and continues to not make money.

    SiriusXM is a highly scalable business, it is raising it's rates almost yearly and getting over a million subscribers every year. 2014, without the Liberty noise will hit over a BILLION in free cash flow.

    If you can get 100 Bill's who will pay or 10,000 Joe's who don't pay squat which would you rather have? I think it's a no brainer, SXM is a niche market not everyone wants to pay for radio.

    SXM is not going after the whole apple it is going after the best part of it, the one that is still ripe and good to eat.

    Good article Brian, What do you think of all the law firms surrounding the XPO acquisition of Pacer? Do you think this will inhibit or slow down the proposed takeover?

    I am kicking myself for not buying <9$ when I first read one of your articles, this company is literally flying down the highway.

    Last and final question, when do you see this company being free cash flow positive?

    All that matters in this article is this - "...while FCF for the full-year hit $927.5 million vs. $709.4 million in 2012 (a jump of 30.7%)."

    Free cash flow is all I care about, it allows the company to issue a dividend, buy back shares, reduce debt or buy other existing businesses. It is the reason I invest, to send out my soldiers to go capture more cash.

    The buyout is not a sure thing, quit acting like it is the institutions other than Liberty Media are multi Billion dollar companies they won't get the short end of this stick. They did not get to where they are taking "C Class" bogus shares.

    The buyout will not occur and SiriusXm will use the revolver to the tune of 2.2B and buyback over 600 Million shares at current prices or 8% of the current shares outstanding which would be HUGE.

    All you have to do is sit on your hinny, and your cash will grow it's that easy. Don't fall for the hype. All you need to do is Vote NO.

    SiriusXM had a great quarter it's the "smart analysts" that are looking at it the wrong way. I look at free cash flow, that's all that matters to me as an investors. The more FCF a business has the more it can grow (acquisitions), share buybacks or reduce debt. SiriusXM 2013 Free Cash Flow of $927 Million, Up 31% since 2012. I'll take any business that makes over 30% that it did last year. Heck, that is a freight train.

    Forget Earnings per share, we all know this stock has a TON of shares outstanding. Having that said, there is over 2.2B under the revolver and the second Malone's offer gets thrown out, he will be told to raise the offer. Malone is never one to over pay for anything so he will play this cat and mouse game of "I'm buying it, no wait I'm not" simply to reduce the performance of this share price.

    This offer will not pan threw because all institutional investors are no dummies, they did not get to where are they are running multi billion dollar funds taking S*** deals. Next 3 biggest holdings other than Liberty Media are:

    -Vanguard Group, Over 2 TRILLION in assets
    -Winslows Capital Management which has been acquired by (Nuveen which has over 214B in assets)
    -Black Rock Fund Advisors, over 31B

    These mega funds will not tolerate Malone's trickery if Malone has good lawyer's you bet that these hot shots got some that are just as good if not better.
    Don't fall for the hype the deal will not happen, afterwards SiriusXM will use it's over 2.2B cash on revolver and buyback shares at a HUGE discount to the >$4 highs.

    Maybe this is all orchestrated to lower the share price so that SXM can buyback more shares which in turn will increase the companies fundamentals on all levels.

    How do you eat an elephant? (massive shares outstanding) - One bite at a time.

    It's similar to voting for new board members/ re-electing board members. You will get a package set to your door in the mail and you can either fill it out and mail it out or vote online. Having been through buyouts before, this is how most of them have panned out.

    After a "set" buyout price is agreed upon if it is higher than the current share price then it will rocket upward to that amount. A month or two goes by and you will get the cash in your account or your stock will be converted to the new company.

    Good article Stephen.

    There is a lot of uncertainty surrounding SXM right now but on the bright side the company secured a new long-term deal with Nissan until 2018. The cars keep rolling off the line with there built in sat radios. What I found appealing was that Nissan only went with the 3 months free trial as many others have 6 months to a year.

    This deal may or may not happen until springtime at least, and investors do not like uncertainty. Still holding, and treating this one as a parked car only move it if you have to. I have a big feeling that the best is yet to come whether it be in share offers, Agero news being leaked or the continuation of the buyback. 
    What many may be forgetting about the sp is that the reduced buybacks make the company much more volatile.
    Out with Stern and this uncertainty!!

    While this may be spun out as good news, until the SP appreciates or these hot shots law firms DO something significant this is just another pump in my opinion.

    Those that jumped ship at $3.80 when the news first came out seem smarter everyday.

    I've waited this far, I want at least >$4.00 if not Malone can rot in hell. Hope Karmazin is enjoying that >over million dollars he's squeezed that he plans to use for "philanthropic" efforts.

    Give me a decent cash offer so I can be done with this gong show.

    I can certainly see your point of view, however you did not answer my question.

    Find me another company that has 3 tiers of stock? There are very few because they don't make sense.

    Malone has Sirius but he does not have it all, if you are a sports guy you know where i'm going with this. As to your answer all you really told me was what I already knew. Are you for or against Sirius proposed takeover and please don't link me to your past articles I have already read them.
