    I hear you. I also looked for tell tale signs. I believe (if memory serves), that CNBC was referring to January options on all the Kinder companies.

    Never sold an MLP before so, even though I can, together with TurboTax, figure out the yearly taxes, never had to deal with the other things involved in the sale of MLP units.

    I heard it on the CNBC program on the radio this morning. They said the insider volume on all the Kinder entities had been quite out of the ordinary in the few days leading to the public announcement. I am sure that if this report is true –and I have no reason to doubt it – the SEC is going to have a field day.

    Would it be tax-wiser (specially for long time KMP unit holders), if the deal had been the other way around? That is, KMP buys out KMI. That would dispose of the GP and its large IDR. That would drive the cost of capital down as well and make growth much more accretive to KMP as the GP would not siphon off 50% of the revenue increase.

    As a holder of KMP and KMI, I wonder if it would have been tax-wiser for KMP to buy out KMI instead. This would have also removed the IDRs and this money could have been used to increase the KMP dividends, or fund other accretive projects, all without impacting the long-term KMP holders and the tax repercussions on their capital account.
