  • Pzena Investment (0.7% stake) joins Carl Icahn and Southeastern Asset in opposing Michael Dell/Silver Lake's LBO offer for Dell (DELL +3.1%), in spite of ISS' support for the deal. The firm is a long-time critic of the LBO attempt, and argued back in Feb. Dell is worth $25/share. Today's rally resulted in shares closing less than 2% below the offer price, as investors bet ISS' sway over index funds and other institutional buyers will help the deal pass. [View news story]
I'm totally against the Michael Dell deal to take the company private for about the price ending today @ $14.60. I'm not sure if it's worth $25 a share, I was thinking around $20.00..............djs

  • Yield-starved investors are piling into frontier-market debt, allowing small countries with no capital markets track record to raise cash at rock-bottom rates. Case in point: At 5.2%, General Electric's (GE) 10-year bonds yield 58 bps more than Paraguay's, and only 142 bps less than Rwanda's. [View news story]

  • J.P. Morgan's Thomas Lee notes that several laggards in the first quarters of 2009-12 rebounded in Q2, so he figures select tech stocks look appealing now. Tech's forward P/E ratio is below the market's for the first time in 17 years, Lee says. His most noteworthy call is to buy Apple (AAPL), which slid 16% Q/Q. Some other favorites: BRCM, CHKP, ESRX, MYL, TASR, CHS, F, COF. [View news story]

  • Ford (F) expects an operating margin of ~10% for its North American ops this year, down slightly from 2012's 10.4%, Americas chief Joe Hinrichs discloses at a BofA conference. Ford's mid-decade outlook forecasts an 8%-10% margin for North America, and 8%-9% for its global ops. 2013 U.S. industry auto sales (on a SAAR basis) are pegged at 15M-16M, up from 14.8M. Ford estimates its Feb. '13 U.S. share was 16.1%, up 80 bps Y/Y. South America is seen having a roughly breakeven op. margin for 2013, below 2012's 2.1%. (slides[View news story]

  • Ford (F) lowered CEO Alan Mulally's compensation by 29% to $20.95M in 2012 after the car maker missed its goals for profit, cash flow and market share. Mulally's package was made up of a $2M salary, a $3.95M bonus, and $15M of stocks, options and other compensation. Despite the wage cut, Mulally is still probably the world's best paid automotive CEO. [View news story]

  • Dell (DELL) shareholders will get only a modest LBO offer price increase, sources tell dealReporter. This scoop arrives less than 24 hours after a source the NY Post reported (citing one source) no higher bid will arrive. Is the LBO consortium playing hardball, or is it just waging a covert PR campaign to discourage investors wanting a significantly higher offer? Either way, Dell closed at $14.32, down a mere $0.05 on the day. [View news story]
I agree with the idea "starting with $22.00 a split to around $17.00 will probably be the final offer.

I am also a small stock holder with no say about this abhorrent 13.65 a share LBO being offered by this board of directors. I was under the impression the company is worth at least 22.00 per share....................
