-The cost of legation of the lawsuits
-the fact that POS terminals are commodities easily obtained for almost nothing
-strong competition in Ingenico, Hypercom, etc
-The SEC still has to okay the accounting scandal adjustment.
- the deals coming through are quite small in actual revenue
-the "Bergeron" factor

I'd say PAY is way overvalued
