I enjoyed this article very much....with much wisdom.

Just adding one comment of Men versus Women.
Men trade with their ego therefore implode themselves
    Women trade with discipline nurturing
both condition still have their own exceptions....

Keep writing. Your articles are always filled with great reasons...

  • MFC Industrial: Large Discount To Book Value Not As Enticing As It Appears [View article]
I believe they are in the process of revamping and releasing value by becoming more focus on developing new business model while liquidating asset. They may be some financial adjustment either up or down giving a true reflection of asset value...You did use the conservative value of net liq value and i do like for asset play. At some point, this will likely be a growth value firm. Turnaround takes time as each individual entity within MIL is shaping itself toward mission statement from CEO.

I hope Joel points out the new cash burn rate expected after integrating and what one time charges for this. 3 times current expenditure?
New cost structure of NON ITO per sq foot and likely selling price to determine profit margin versus current ITO
How long will it take to meet ISO QA testing for full roll out of product.
Explains triple outstanding shares from previous quarter after convertible bond, warrants and issuance of more shares to raise money.... floodgate of more shares diluting shareholders....
Is there and err with issuing S3 registration before proxy vote??? legal issues

It will be very interesting. Stay tune

  • A Look At GrafTech's Deal With Brookfield Asset Management [View article]
No upside potential and Brookfield has no idea what they are doing.....Spent 700 million to buy out at 5.05, all mutual funds will tender their shares to get out. Brookfield will have to pump another 300 million for the next 12 months to keep it going just to wait for a rebound. Rebound to what? The whole industry has already caliber to use lower cost needle coke to make steel.....and China dominate in last 3 years. GTI should have reinvested and reinvent themselves...
There will be mark to market on inventory and unsold product soon thereby more loss will be forth coming. Net liq on company is prices at $1.75 factoring out mark down write off.

Cost of borrowing will go up because cash flow is nil...Rating likely to be downgraded......

Bad for Brookfield, good for management, Nathan M and current management (big payout disclosure on SEC gov documents)

  • GrafTech - A Fox To Guard The Henhouse? [View article]
I doubt Milikowsky will fight with Brookfield for control. I think getting money for exchanging his shares and bond, he will be satisfactory as there are next steps after Brookfield takes it private....

Brookfield is taking extraordinary risk... of LBO. Buying out the company and paying huge money to current management too will most likely cost about 700 million just to get a company worth only 250 million. They will likely pump another 100 million just to keep going till middle of 2016.....

Mark to market of inventory drop of about 150 million to adjust price and cost. Add working capital and rebuild client relations while looking for additional financing. Swot analysis shows business product at low end since alternative needle coke and electrode from China offer better cost alignment to steel during the last 3 years.

Brookfiled most likely will offer Nathan M. consulting advisory agreement with new management team to run privately in rebuilding model or change it. The key point is the remove entire current management which contain previous management thinking...

Current management pay out for change of control is huge for destroying company. This is what they are seeking and it has always been for their interest and never shareholders....

Recently Oxford club has put out another buy on GTI.....even after propose tender offer.....SMH...http://bit.ly/1Jtg9TG

Just a thought Paulo. A china or Korean firm may want it. They would exchange stock for it. I don't think anyone can run that firm. I believe there are too many stove pipe teams making it harder to run because each team wants to dominate within.

  • UniPixel -11.7%; company ends Kodak partnership (updated) [View news story]
I wonder if management kinda of misled convertible bond investor or just didn't tell them about their intent of terminating Kodak result in them exercising their convertible immediately?

I have never seen convertible bond issue to acquire a firm then convert two weeks later into stocks. Plus the firm is intent of selling 75 million shares to raise money from S3. i am sure bond investor didn't see this part as well. I am sure there are now twice as many shares outstanding as a result if not more.....Either way stock has room to fall further. Management paid 15 million to get 10 million in revenue plus raising another 75 million....Destruction or dysfunction team

You pose an interesting event. I was thinking if anyone brought Saleforce, they will mostly likely not know how to run that company therefore dysfunctional event with disconnect leaders will create chaos where customer will run to ORCL to help them fix their business. This should create millions in sales quickly for ORCL

Raise 15 million convertible bonds with warrant 2 weeks ago
Issued S3 registration yesterday allowing them to convert and for UNXL to raise another 75 million dollars by issuing more stocks.
The outstanding shares were at 12 million and now its more than double that amount.
Selling stock holders is about 5 million shares and undetermined amount of share to raise 75 million.

Can't produce what they claim non ITO metal mesh so they purchase one instead. The QA end piece of new acquired firm is somewhat weak so sales is weak.
The product is the stock and remake of new firm with convertible bond and warrants mean more stock floating. Earning dilution for sure.

CEO Joel will most likely to be replaced within 6 months of integration.
The Kodak deal....haahaha. What happen to all the people post of high tech film partnership?
What is the monthly cost of operating within Kodak facilities and now add back to the savings??? I am sure the termination on lease agreement on facilities and equipment will be somewhat big.

How much negative earnings will be for 2015 year end? Expense and more shares outstanding despite potential sales from acquire firm.

Joel - will you share some light?
