    Couple of things I would like to add is that-

    1. GCI charges a 8% management fee, so after the 4 the year preferred dividends is going to drop substantially.

    2. On an EV/Revenue basis alsk is at $1, whereas most of the wireline operators are at 2.5 average.

    "Not sure what you mean. Old Telebras assets are concentrated in Vivo (old Telesp) and Oi (old Telenorte Leste). Other companies probably also have pieces. So who is going to return these assets to the government, and how will they be compensated?"

    Hello Leo,

    It basically looks like Brazilian Government has given okay for TIM to bid for OI but has put in strict conditions.

    TIM on the other hand does not want those conditions.

    I dont think price of OI is an issue, it will be around $7. At the same time there are issues with market share\community reinvestment rules.

    Basically it looks like cat and mouse game between TI and the brazilian government.

    TI CEO's latest comments which says he has no time is basically saying that he is not against buying oi.

    TIM wants restrictions on OI released by the government before it takes over OI.

    Very good analysis, you are a good analyst.

    OI and PT merger had zero synergies and Zeinal\BTG fooled a lot of people.

    Now TIM\OI has real good synergies.
    TIM can offer end to end services, Land\Mobile\TV to a consumer.

    I dont doubt $9b is a true synergy.

    Can anyone realistically tell me why would Brazilian government oppose TIM buying OI?

    - Is it national pride?

    - OI does not have the cash to bid for 4G nor keep the network quality up.

    So isnt it better for OI to be bought out.

    Hilton: Actually OI managers themselves realize this, the only way out now is either claro or TIM will buy OI.

    Capital was raised at $9 so anything closer to that is a decent price.

    My take it will between $5 and $7 making sure TI hold 51% of the combined company.

    Hilton: Before the merger PT was worth 4b and OI was worth 3b.

    After the merger the whole company is worth 1.4b?

    It makes no sense on top of it all they raised $2.2b in cash.
