    my two cents...

    let's say you own a private company PFHO, which is losing two customers next year. Your competitor finds out and extends an offer to buy you out for $24m. You know excluding these two customers you made 1.8m sales and about 350k profit last quarter. So in the next year assuming no new customers and no growth everywhere else, you are going to make about 7.2m sales and 1.4m profit. You also know you company has 3m cash in the bank. So the offer is just about 15 times of one year's profit net of cash.

    Would you sell your company?

    Some may sell because they worry about losing any other customers. Some may not because they know new customers and new revenue streams are coming and that price is not too low. Everyone has different perspectives, and that makes the market I guess.

    I would not sell at that price. I know the core business is growing healthily, where enrollment keeps going up 15% annually. I also know it is excellent business with very high ROIC, so when new customers and new opportunities appear, I can expand the business rather quickly with little capital.

    Time will tell who is right, but think as owner of the business, not the stocks.

    Thanks AGC. Just my 2 cents for those interested to dig further - the management/owner's interest is not all aligned with small investors/shareholders. For example CEO can pay himself a very good package that small investors never get a penny and cant say no neither because they dont have enough votes.

    Yeah, it is good to buy an excellent business at fair valuation, although it is better to buy it at discount.

    Agree with the assessment here. The shares could be volatile for a while though, as we probably won't hear from the company until Mar/Apr 10K filing.

    Maybe this morning's dip is due to concerns of losing a significant customer from Q1 2015? 'During the nine-month period ended September 30, 2014 MBR fees generated from this customer represented approximately 67% of total MBR fees and 14% of total revenue.'

    Thanks for the very detailed update. Any thoughts about DWA's ability to create new franchises? In the last couple of years, only success was Croods, and even that was not close to some of the competitors' new franchises. So do you have any concerns about the management or the movie team's ability to create great content? Or they simply lost focus while expanding so much into new territories?

    The reason it looks undervalued is the growth - both from store openings and same store sales. Obviously it would not be selling at this level if no issues on financing side of the business. With 10% earning yield, the risk of permanent loss is relatively low at current level. Potential upside could come from continued growth in store count, sales increases from remodels to sell furniture and mattresses, and of cause less worrisome performance of the credit portfolio.

    Insider buying is certainly an encouraging signal.
