    Notice that while management was quick to point out promotions regarding the rebate cards... they neglected to mention the operating expense line where actual marketing expense plummeted Q/Q from $21.93m to $15.99m. Without that cut operating income would have been absolutely crushed.

    The drop in fulfillment expense Q/Q also looked fishy.

    More trouble ahead is my prediction.

    This is a great insight that is simple enough but often overlooked:

Attributes such as dividends and repurchases are the symptoms of a good business. One must find the cause of a good business as the symptoms could easily mask the true underlying economics of an industry."

    Thanks for the write-up.

    Any idea how much of the drop was due to fake exports is the past numbers that China is now cracking down on? It's been getting some press.

    Also, last year CAP changed the way they depreciated containers (extended their life) in order to give earnings a boost. Have you looked into how TAL/TGH/CAP depreciation policies vary company to company? Wondering who is the most aggressive in the group.

    With all the talk of expense cutting it's interesting the board just decided to up their own salaries by 66% (from $3k to $5k per meeting):

    "Effective January 1, 2014, the Compensation Committee has approved the following cash compensation for the Board of Directors: (a) each member of the Board of Directors will be paid $5,000 per calendar quarter ($20,000 per year) for services to the Board of Directors"

    Each member also received another 50k options at $0.98.

    "On 11/19/13 FAB CEO Chris Spencer acknowledged receipt of an email from me that contained a copy of the bond prospectus, clearly showing that FAB's VIE subsidiary was the issuer. Even though Chris had evidence in hand that proved the bonds were issued, he nevertheless authorized a press release the following day containing a "vehement denial" of all the allegations."

    Totally unacceptable. Wonder what the independent investigators and ultimately the SEC are going to say about this fact.

    FAB's explanation on the kiosks is a joke.

    As stated in their filings under FAB franchise program: "the franchisor (FAB Culture) is responsible for the complete set-up of each FAB outlet from the location selection to construction or conversion, remodeling and equipment installation."

    So FAB itself was responsible for everything from location selection to construction to installation of the kiosks?!?!?!? Yet they can only verify that licenses have been sold?!?! Come on...

    Best of luck to you. I'd read carefully the S-1 linked to above starting with the sections:

    "The issuance of shares of common stock to the Selling Stockholder may significantly dilute existing shareholders...."

    Followed by:

    On September 9, 2013, we closed a Securities Purchase Agreement by which Alpha Capital Anstalt..."
