  • Steel Partners Tender Offer With Guaranteed Purchase For Smaller Investors [View article]
"Or if investor liked to eliminate downside risk completely, he/she could tender shares at the current price of $16.8, as it is extremely unlikely final purchase price will be below this below."

If someone took the author's advice, they would have not had their shares accepted, and with the stock trading at $16.40 and falling, it's unclear how this proposal would have "eliminated downside risk completely".

Anyone want to take bets whether this goes back to $16 before the optimists get their shares back and can dump them?

Looks like a "guaranteed" loss, the auction price is $16.50 and heavily oversubscribed.

  • Gyrodyne Could Make For A Tasty Liquidation Play [View article]
Looks like they gave up on the Gyrodyne LLC merger to make it more tax efficient? The newer proxy removed the merger language and the annual meeting got pushed back until 12/27 from 12/10. Looks like this liquidation is coming with an up-front tax bill and a delayed capital loss (not ideal), unless you go the IRA route.

Also note that the Gyrodyne Special Distribution LLC interests are supposedly not transferable "except in extremely limited circumstances".

Aren't you going to take a tax hit on the full $66 value, including the notes? When companies do stock dividends, you still have to pay taxes whether you hold or sell.

This good deal is now dead due to this article's publicity.

(GRR), (collectively the "Funds"), jointly announced today that they will discontinue the practice of accepting all shares tendered by stockholders who own, beneficially or of record, an aggregate of not more than 99 shares before prorating shares tendered by others.

the language in the docs says the fund MAY purchases odd lots first, not that they have to.

Just to be clear, the language in the docs says they may accept odd lot shares without proration, not that they're required to. I would worry with too many people following this, it will end badly since they can change their interpretation of this policy without re-writing the docs.
