  • Steven Cohen is considering shutting down his hedge fund and going to a "family office," reports Bloomberg as CNBC reports settlement talks between SAC Capital and the feds have broken down. The break came as Cohen was issued a subpoena by prosecutors which would forced him in front of a grand jury to testify against his firm. [View news story]
    That could save him the possible embarrassment of admitting there are no longer any outside investors.

  • Apple (AAPL) releases Tim Cook's official statement (.pdf) to the Senate ahead of his Tuesday appearance at a hearing on corporate tax payments. Among other things, Apple claims it paid ~$6B in federal taxes in FY12 and a 30.5% effective federal tax rate, and that its foreign units don't engage in the practices the hearing focuses on (the shifting of IP to offshore havens, revolving loans from subsidiaries, etc). The company proposes a tax system that's "revenue neutral, eliminates all tax expenditures, lowers tax rates and implements a reasonable tax on foreign earnings." (previous[View news story]
    For U.S. companies, foreign earnings should be taxed at a higher rate than domestic earnings. Aren't we supposed to be trying to bring jobs back the U.S.????????

  • A coalition of union and state pension funds are backing a resolution to split the CEO and chairman's roles at JPMorgan (JPM). A similar proposal garnered 40% of the votes last year, but that was 36% ago for the stock. Given the performance, Dimon may be more likely to get a medal rather than stripped of his chairmanship. [View news story]
    I would say the +36% is in spite of hime, not because of him.
    These roles need to be separate at all companies for the sake of effective corporate governance. In JPM's case there are several billion reasons why.

  • More on Amazon's (AMZN) Q4: The company swung back from its Q3 loss as North America sales rose 23% Y/Y to $12.175B and International sales gained 21% to reach $9.093B. Growth in the company's Electronics segment outpaced Media segment sales. Free cash flow decreased 81% to $395M for the trailing twelve month period compared to a year ago with real estate outlays factoring in.     Initially down 15 or so, as it should have been, and then a quick reversal. The quintessential "buy and hold" stock. Doesn't matter if they miss or make estimates.
