    Thanks Paulo. I thought I was the only one happy with the quarter the way the stock has reacted. I wish they could ramp up the buybacks instead of higher dividends at these levels, but it is difficult with the low volume.

    WASHINGTON, May 4, 2015 – Capitol Acquisition Corp. II (NASDAQ: CLAC; “Capitol”) today announced that it will seek stockholder approval to extend the date by which Capitol must complete a business combination (the “Extension”).

    The purpose of the Extension is to allow Capitol more time to complete its previously announced proposed business combination with Lindblad Expeditions, Inc. (“Lindblad”). Capitol currently believes that there may not be sufficient time before May 15, 2015 (which is the deadline to complete a business combination under Capitol’s current amended and restated certificate of incorporation) to allow the SEC to complete its review of the proxy statement relating to the proposed transaction. Accordingly, Capitol is seeking this Extension. While the Extension would allow Capitol time until July 31, 2015 to complete the business combination with Lindblad, Capitol will seek to complete the business combination well in advance of this date. Capitol anticipates holding the stockholder meeting to approve the proposed transaction with Lindblad as soon as possible after the SEC completes its review of the proxy and Capitol anticipates closing the proposed transaction with Lindblad shortly thereafter.

    Capitol’s board of directors believes that the investment opportunity in Lindblad is compelling and that Capitol’s stockholders would benefit from it. Therefore, Capitol’s board has determined that it is in the best interests of Capitol’s stockholders to extend the date that Capitol has to consummate a business combination in order that Capitol’s stockholders can participate in this investment.

    Nate - Thanks for the info. Just trying to think this through but I'm not sure it would cause me to panic without knowing more. It's probably not surprising that NPA's were decreasing for most banks over the last several years as foreclosures steadily decreased since peaking in 2010. If things are leveling off now just a slight uptick can cause that chart to skyrocket. The real question I think is how much are the NPA's increasing for these banks, not how many bank's NPA's are increasing.

    The incentive would be a simplified corporate structure which would make it easier for investors to understand and be willing to invest in resulting in a higher share price. I believe both BFCF and BBX are still way undervalued. I don't know if I'd call BFCF 'safer'. Even if a merger doesn't occur BBX is trading somewhere around 17% under book value and I think the real estate segment will show some nice earnings over the next several years from asset sales and JV's.

    I am long both BFCF and BBX.

    Once the lawsuit is over nothing would prevent a merger. Both sides have submitted their responses to the judge regarding the penalties so I think maybe we'll see a decision within the next month or so. If the judge decides to ban Levan permanently or for a long length of time then I would expect BBX to appeal the ruling.

    BFCF can't uplist to a major exchange until this case is settled and that was one of the conditions of the merger. Of course since then the merger was cancelled and BFCF tendered for about $100M worth of BBX. My guess is eventually they will still merge.

    Thanks for the article. Went through a large number of articles over the weekend and this was the only one that got me to do additional research and make a purchase. Compelling company with good growth and visibility through 2016. I look forward to the initiation of the dividend.

    The non-cash charge was due to them refinancing their debt. That was a one time charge which will not affect future quarters.

    Should be an interesting call on Wednesday. If Sellers endorses the deal I can only imagine it's not that bad. Since Dinoking isn't public it'll be hard to figure out its value until they release the details.

    So what happens if they declare bankruptcy (which I think is unlikely)? The Titanic assets will eventually get sold anyway, the debt holders will get paid off, and the remaining money will get distributed to the shareholders.
