    Right. But the non-votes were counted as "no" votes. Only 64% of KMP unitholders actually voted "for" the merger. Not very convincing.

    While the future prospects for KMI may look pretty good, I feel that Rich Kinder has thrown us KMP holders under the bus. His oft stated claim that KMR and KMP are equal in all regards is obviously false.

    The problem is that all units that aren't voted automatically become "no" votes. In other words, there needs to be just over 50% of the units voting "yes" for the deal to be approved. KM is sweating the outcome because of all the "no" votes they are receiving. Mine for instance.

    I just don't understand why an (alleged) problem in TRN"s guardrail division should have any effect on its rail car business.
    I fact that is one of TRNs strengths - it has far more diverse operations than GBX.

    Thanks for a great discourse on the ins-and-outs, ups-and-downs of this ridiculously complex transaction (for the partners, that is).

    Is there someway for you to edit and condense this article and comments down to a manageable and useful length?

    One question on the UBTI: If the accumulated UBTI over the years is a negative number, does that mean there isn't any tax due from an IRA due to this transaction? My fingers are crossed.

    By the way, I don't know if this is useful to anyone, but I have the KM K-1's going back to 1997.

    If GE is going to use these changes (Alstrom; Synchrony; and Appliances) to focus on higher growth/higher margin industries like transportation, healthcare and infrastructure, then I'm all for it.

    Assuming, of course, that the higher margin actually happens.

    Does anyone know if unused credit carryforwards can be applied to the "profit" in an IRA?

    I've had mine for 22 years, mostly with dividend re-investment.

    Alternately, does anyone know anything about moving to a foreign country?
