  • A special committee of the DELL board pens a letter to Carl Icahn asking for details on his potential new offer, particularly how he intends to finance it. It's a question, says Dan Primack, Icahn is in no position to answer. Shares -0.4% premarket. [View news story]
Nice letter from Icahn with lots of bluster but no content. Parse through and it's clear that the group knows little about the business, and it certainly looks like it isn't spending the time nor effort on a credible plan that could deliver on the qualitative arguments near- or long-term. Picking a fight to make a couple of more dollars - which in the Icahn world is merely a stocking stuffer. That's not capitalism - it's greenmail. Lots of other companies need your brand of "help" out there - go get 'em!

Southeastern -- Really? The strategy for recouping some losses on your Dell investment is this letter? Great research / points of view on potential value, but not based on practical experience.

Totally expected of a company that uses the balance sheet to buy innovation. It's simplet to deliver earnings when you reduce OPEX for innovation and use the cash to acquire innovation, revenue and profit. Oh yea and use the cash to buy back stock. This company is eating itself up from the inside. Should be fun to watch...

  • "Our ambition is to be the primary technology provider to the telecommunications industry," said Larry Ellison during Oracle's (ORCL) FQ3 call. The remarks are fueling speculation Acme Packet is just the start of an M&A spree. Meanwhile, some on the Street are worried Oracle's software license woes could lead to pressure for its high-margin services business. Cowen: "For a long time they've held firm on pricing for maintenance ... Now that you have an ever-growing raft of [cloud] alternatives, more and more traditional customers are availing themselves." • Dell (DELL) is scheduled to release its FQ4 earnings after the bell, with the Street forecasting that EPS fell to $0.39 from $0.51 and that revenue slid 11.9% to $14.12B. The problem for Michael Dell and his co-acquirers in the company's buyout is that if the results are too good, recalcitrant investors might have more ammunition in their quest for a higher offer. [View news story]
But if performance is not great and out of line with its peers, investors will wonder whether Michael Dell is engineering the decline to justify a lower price. Or, perhaps he lacks competence as a manager and should step aside, so that existing shareholders who saw the value of the strategy in the public domain and invested their capital have a chance to realize returns off the back of better management and execution.
