        <![CDATA[I literally laughed out when I saw SVM's ridiculous explanation to tax treatment on Henan Found's dividend to its JV partners, as well as its incorrect calculation of tax on dividend.  I guess this type of accounting error is something that one would regularly expect from a legitimate $1B company, huh?  Interesting, if that table of dividend calculation in SVM's rebuttal to Alfred Little report was the same company has given to the auditor, it's a sure evidence of fraud.<br/><br/>For those who wondered why I haven't responded to some of the comments, questions and personal attacks on SA, I'm in China checking out what trick SVM is trying to pull off on its investor tour.         <![CDATA[The answer to everything you said is foreign currency exchange flow control by the Chinese government.<br/><br/>Yes, multi-nationals make a substantial amount of the money from China regularly have trouble repatriating the cash to the home country due to the issue of tax and restriction on FX flow.  For companies like P&amp;G, KO and GE, if you research more, you can see they pay most of their dividend from the cash held in the US here.  What makes you think the Chinese government is okay for you to make money there and easily pull them out of the country instead of reinvesting it locally?  Basically, repatriating the cash in China for paying dividend makes no financial sense and pisses off the local government.<br/><br/>As for a Chinese investment company buying SVM - not possible because it's incredibly hard to get approval from SAFE and MOFCOM (fx and ministry of commerce) to move their cash offshore.  If some company really wanted to buy them, they've have bought the local subsidiaries directly, not SVM.  This argument also raises the questions that if SVM's incredibly good silver grade and low cash cost was indeed true, why didn't they, in the very beginning, go public in China where the valuation is A LOT better.  Why come to a place like Canada where they're getting crappy valuations and scrutinized by short sellers?  I think the answer lies in the loose or lack of oversight in the going public process by the weak Canadian securities regulations.  This is also one of the key points that make the whole Silvercorp story too good to be true.]]>

It doesn't take a genius to figure out there's something not right about Silvercorp, all one needs is a little common sense like the one Adam used:<br/><br/>&quot;When asking about the geologists who researched the mine, Xian said that they are from Spokane, Washington. &quot;OK, and they flew from Washington to China earlier this year?&quot; I asked. &quot;Yes,&quot; she answered.<br/><br/>After Alfred Little's report (.pdf) came out, I quickly sold my long position. Did you actually check out those purported documents and read my comment above? What SVM provided was merely a filing form which can be picked up and filled out by anyone at any tax bureau as the first step of filing tax returns in China.  As a legal proof of complete tax payment, one has to supply the official tax receipts stamped with the chops from at least three places (company, tax bureau and its bank), as well as a payment proof from the financial institution. It's without a doubt SVM mgmt is fully aware of this requirement since these were the exact items SVM provided for documents to prove the VAT payment (admittedly one of those items was a little questionable too). Therefore, I think such omission of the key proof of can very well be intentional in nature. Until some concrete and sufficient proof is provided, I'm highly skeptical SVM actually paid any corporate income tax, i.e. earned any profit.]]>

        <![CDATA[Well, as someone who's prepared and filed income tax returns in China before, I don't see SVM ever provided any necessary proof to substantiate any actual income tax payment (see my comments above).<br/><br/>As I mentioned, two things about SVM that particularly failed my smell test just like the ones for CCME - a story from a tiny town in China that's too good to be true and aggressively promotional PR campaign to promote its stock.  Just a little common sense about SVM's highly publicized buyback, if one company is truly interested in creating value through buying back undervalued shares, why would they want to put out a press release after they've done less than half of the amount under its NCIB, potentially jacking up the price?  A rational mgmt would have purchased the entire 10 million shares before putting out any promotional PR instead of doing it only after 3.9 million shares were bought.  If you really want people to believe your stock is undervalue, why wasting time going on TV, radio and roadshow to prop up your stock price?  Just be quiet and finish buying the 10 million shares.  <br/><br/>Just like CCME's buyback, dividend and continuos stock promotion, it occurs to me that SVM cares more about the publicity generated by the buyback rather than the true value created by it. ]]>

        <![CDATA[Okay, given Alfred Little has published a strong piece on SVM before I could even build my full position.  I decided to state some of inconsistencies and ridiculousness of the documents supplied by SVM here, just to back up what I said about SVM's likely intention to take advantage of average investors' lack of understanding about Chinese business and taxation system.<br/><br/>1. Proof of income tax payment in China was intentionally insufficient and failed to substantiate any actual income tax payment.  What SVM provided was merely a filing form which can be picked up and filled out by anyone at any tax bureau as the first step of filing tax returns in China.  As a legal proof of complete tax payment, one has to supply the official tax receipts stamped with the chops from at least three places (company, tax bureau and its bank), as well as a payment proof from the financial institution.  It's without a doubt SVM mgmt is fully aware of this requirement since these were the exact items SVM provided for documents to prove the VAT payment (admittedly one of those items was a little questionable too).  Therefore, I think such omission of the key proof of can very well be intentional in nature.  Until some concrete and sufficient proof is provided, I'm highly skeptical SVM actually paid any corporate income tax, i.e. earned any profit.<br/><br/>2. List of customer by sales.  First of all, what amount of time does it take for a $1.4B MC company to translate a simple list of customers given they've already done it for other documents?  As we have learned from yesterday Alfred Little report, two large customers are quite questionable.  Secondly, some other customers, albeit small, are apparently some kind of jokes and their names don't even fit the convention and legal requirement of naming an actual company in China.  Combined these two events, it lead me to believe for some reason, SVM did not want investors to scrutinize its customer base.  Funny, the major customers weren't even disclosed until they received that anonymous letter, which we have yet seen so far.<br/><br/>3. All bank statements from China are questionable.  If SVM is sincerely transparent, why doesn't it publish a bank statement with a whole quarter's history instead of such a narrow time period.  It's also funny for a company with this kind of purported revenue/volume to have such large amount of term deposits.  What those bank statements failed to show is whether there's the other side to these supposedly &quot;free&quot; cash.  I say, why doesn't SVM publish an entire quarter's bank statement, so we can take a better look to determine whether the cash is restricted or collateralized against any off balance sheet liabilities?  As it proven in CCME, LFT's cases through auditor discovery of accounting irregularities and resignations, &quot;cash&quot; can be faked too.<br/><br/><br/>One word for the company's supporter or promoters coming up with excuses for the company's shady selective disclosure and questionable documents - Just because your operations are in China, doesn't mean a billion dollar company shouldn't hold itself to a higher standard of the capital markets here.         <![CDATA[I actually beg to differ here.  I still haven't seen a copy of the actual letter accusing SVM a fraud.  But after taking a look at the supporting documents provided by SVM to defend itself, I think SVM is really taking advantage of North American investors lack of knowledge and experience about the Chinese business practices, taxation and reporting systems.  To me there are quite a lot of suspicious or inconsistent items in the documents provided by SVM and referenced in your article.  Funny, a lot of these key documents weren't even translated and yet a lot of the non-Chinese speaking sell-side analysts, stock promoters and naive investors are already cheering for them.  To simply put it out there, I'll be very very surprised if SVM is completely legitimate.<br/><br/>Having said that, I think if the stock bounces more, causing a short squeeze, I'll consider starting a short position.  I don't have any hard proof to show SVM isn't legitimate yet, but this kind of instinct is what prompted me to short stocks like LFT.]]>

To me there are quite a lot of suspicious or inconsistent items in the documents provided by SVM and referenced in your article.  Funny, a lot of these key documents weren't even translated and yet a lot of the non-Chinese speaking sell-side analysts, stock promoters and naive investors are already cheering for them.  To simply put it out there, I'll be very very surprised if SVM is completely legitimate.<br/><br/>Having said that, I think if the stock bounces more, causing a short squeeze, I'll consider starting a short position.
