Apple (NASDAQ:AAPL) is buying Emotient, an artificial intelligence startup that can read your mind. The company's technology predicts attitudes and actions based on facial expressions. It is used by advertisers to monitor and assess reactions to their ads and products from potential customers. Google (GOOG/GOOGL) and Facebook (NASDAQ:FB) are also in hot pursuit of a similar technology. Emotient is funded by an $8 million investment from backers including Intel (NASDAQ:INTC).

Time Warner

Activist shareholder Keith Meister of Corvex wants Time Warner (NYSE:TWX) to sell or spin off HBO. Jana, Perry, and Greenlight could also support Corvex's efforts.

Media General

The amendment to the S-1 has been filed for to the Media General (NYSE:MEG) acquisition of Meredith (NYSE:MDP).

Canadian Oil Sands

The Suncor (NYSE:SU) tender offer for Canadian Oil Sands (OTCQX:COSWF) expires today at 8 pm ET.


The HSR waiting periods expires today for the Microsemi (NASDAQ:MSCC) acquisition of PMC-Sierra (NASDAQ:PMCS).


The SolarWinds (NYSE:SWI) shareholder vote is today at 9:30 am ET for the acquisition by Silver Lake and Thoma Bravo. The $1.42 net arbitrage spread offers a 34% annual return if the deal closes by February.


Nokia (NYSE:NOK) is reopening the exchange offer windows for its acquisition of Alcatel-Lucent (NYSE:ALU). The exchange offer runs from January 14 to February 3 so that Nokia can increase its ownership level to 95%. At that point, it will do a squeeze out.


Avolon's (NYSE:AVOL) shares will be delisted this morning pre-market due to its acquisition by Bohai Leasing.


The definitive proxy was filed for the Endologix (NASDAQ:ELGX) acquisition of TriVascular (NASDAQ:TRIV).


The European Condition unconditionally approved the FedEx (NYSE:FDX) acquisition of TNT (OTCPK:TNTEF).

BG Group

Institutional Shareholder Services detailed its support for Royal Dutch Shell's (RDS.A/RDS.B) acquisition of BG Group (OTCQX:BRGYY).

American Capital

American Capital (NASDAQ:ACAS) is seeking a buyer. This past quarter, it bought back about 21 million shares, representing 8% of shares outstanding. More to come in future editions of M&A Daily...
