As previously mentioned on this Instablog (e.g., here and here) and elsewhere, Bovie Medical Corporation (NYSEMKT:BVX) made multiple agreements with Boston Scientific Corporation (NYSE:BSX) that were the subject of Confidential Treatment (CT) Orders by the SEC. (BTW, Medtronic (NYSE:MDT) was also involved in some of them.) As the CT Orders applied to certain portions of the agreements, the agreements were posted to the SEC's Edgar website with the confidential portions redacted.
CT Orders for three agreements expired on January 1st of this year. According to SEC policies, Bovie was supposed to file unredacted versions of the agreements along with its next corporate filing. This does not seem to have happened (although it's possible I simply failed to locate them).
Thanks to a Freedom of Information Act (FOIA) request to the SEC, I have copies of all three agreements in unredacted form and will include them as attachments to this Instablog post for interested readers to peruse.
Due to many other activities that have sharply constrained the amount of time I have available for further research into Bovie, I have not yet read the unredacted agreements in full (much less thought through their contents in detail) and thus will withhold any commentary on them for the moment.
Disclosure: I am/we are long BVX.
Additional disclosure: I am also short BSX via put options.
