Schwazze agrees to acquire certain assets of Lightshade Labs LLC

• Schwazze (OTCQX:SHWZ), formerly known as Medicine Man Technologies, agrees to acquire certain assets of Lightshade Labs LLC for total consideration of $2.75M and will be paid as all cash.
• The deal includes the adult use Lightshade dispensaries located at 503 Havana St. in Aurora, as well as 2215 E. Mississippi Ave. in Denver's vibrant Washington Park neighborhood.
• The move continues Schwazze's expansion in Colorado and with the current addition, brings the company's total number of Colorado dispensaries to 25.
• The deal is expected to close in the first quarter of 2023.
